Exchange Acceptance. 13.2 The obligations of the Optionee under this Agreement are subject to the acceptance for filing of the Agreement by the Exchange. The Optionor agrees to use commercially reasonable efforts to assist the Optionee in obtaining Exchange acceptance of this Agreement, including signing and delivering or providing all such documents and information as may be reasonably required by the Exchange
Exchange Acceptance. This Agreement may be subject to the acceptance for filing thereof by the Exchange on which the Managed Entity’s shares are listed for trading. If this Agreement is not accepted for filing by the Exchange, the Parties will forthwith negotiate such amendments to this Agreement as may be necessary to secure such acceptance for filing. If such amendments cannot be mutually agreed upon, then either party may, by notice to the other, terminate this Agreement, provided that in such case all amounts owing for Services pursuant to Section 2.1 incurred prior to the date of such termination will be a debt of the Managed Entity owing to Manager and due and payable forthwith.
Exchange Acceptance. The Company will use commercially reasonable efforts to obtain conditional acceptance by the Exchange of the issuance of the Rights, the Rights Shares and the Standby Shares, subject to receipt of customary final documentation.
Exchange Acceptance. The Company will take all action as may be necessary and appropriate to obtain conditional acceptance by the Exchange of the issuance of the Rights, the Rights Shares, the Standby Shares, the Standby Guarantee and the Standby Purchase Fee, subject to receipt of customary final documentation.
Exchange Acceptance. The Parties acknowledge that the Assignee's obligations under this Agreement are subject to the condition precedent that the Exchange accepts for filing this Agreement and the Offering. The Assignee will make all reasonable commercial efforts to obtain such acceptance as soon as reasonably practicable following the execution and delivery of this Agreement by the Assignor. The Assignor agrees to fully cooperate with the Assignee and provide such information and documentation in the possession of the Assignor as the Assignee may reasonably require in support of the Assignee's application for Exchange acceptance, provided that the Assignee will reimburse the Assignor for all reasonable out-of-pocket expenses incurred by the Assignor in this regard.
Exchange Acceptance. 12.2 Each of Optionor and the Optionee acknowledges and agrees that their respective rights and obligations hereunder are subject to acceptance by the Exchange, if required under the policies of the Exchange, of a filing to be made in respect of this Agreement.
Exchange Acceptance. The subscription by the Subscriber is subject to the acceptance of the Exchange and the Subscriber agrees to provide the Company with such documents and information as may be required by Exchange policy or reasonably requested by the Exchange and agrees that the failure to do so, whether such failure results in delays or in the refusal of the Exchange to accept this subscription, shall not constitute a default of the Company under this Subscription Agreement.
Exchange Acceptance. The Unit Shares and Warrant Shares are conditionally approved for listing and trading on the Exchange, subject to the satisfaction of the listing conditions set forth in the conditional approval letter of the Exchange dated ●, 2022, a copy of which has been provided to the Underwriter.
Exchange Acceptance. The respective rights and obligations of Portal and the Vendors hereunder are subject to acceptance by the Exchange of any and all filings required to be made with the TSX Venture Exchange in respect of this Agreement and/or the subject matter hereof.
Exchange Acceptance. This Agreement and the transactions contemplated hereby shall be subject to final acceptance for filing by the Exchange in accordance with the policies of the Exchange. The Purchaser shall file this Agreement and such other documentation and information as may be necessary or desirable with the Exchange, requesting final acceptance.
