EXCLUSION OF PARTNERSHIP AND AGENCY. 35.1 Nothing in this Agreement shall create or be deemed to create a partnership under the Partnership Act 1890 or the Limited Partnership Act 1907, a joint venture or the relationship of employer and employee between the Partners or render either Partner directly liable to any third party for the debts, liabilities or obligations of the other.
35.2 Except as expressly provided otherwise in this Agreement or where the context or any statutory provision otherwise necessarily requires, neither Partner will have authority to, or hold itself out as having authority to:
35.2.1 act as an agent of the other;
35.2.2 make any representations or give any warranties to third parties on behalf of or in respect of the other; or 35.2.3 bind the other in any way. Unless the right of enforcement is expressly provided, no third party shall have the right to pursue any right under this Contract pursuant to the Contracts (Rights of Third Parties) Act 1999 or otherwise.

18.2 No Partner nor any of its employees or agents will in any circumstances hold itself out to be the servant or agent of any other Partner, except where expressly permitted by this Agreement.

18.2 Except as provided for in this Agreement, no party shall have any authority or power whatsoever to bind or commit, act or represent or hold itself out as having authority to act as an agent of, or in any way bind or commit the other party to any obligations.
