Exelixis Representations and Warranties. Exelixis represents and warrants that, as of the Termination Date, Exelixis Controls: (i) the Exelixis Patent Rights and Exelixis Know-How Rights which are the subject of the covenants in Section 4.2(a) and (b), and (ii) Exelixis’ interest in the Joint Inventions. Exelixis further represents and warrants that, as of the Termination Date, there are no judgments or settlements against or owed by Exelixis or any of its Affiliates or, to Exelixis’ knowledge, pending or threatened litigation, in each case relating to the Exelixis Patent Rights or Exelixis Know-How Rights.
