Existing Sourcing Alliance Members. Those Sourcing Alliance Members that have been mutually agreed upon in writing by XX Xxxxx and Collaborent to be Prospective Participants shall be listed and set forth in Appendix I attached hereto and incorporated herein. Subject to the foregoing conditions and stipulations, XX Xxxxx agrees not to directly solicit or entertain offers from, negotiate with or in any manner encourage, discuss, accept, or consider any bid or request for proposal from any Prospective Participant that XX Xxxxx has accepted and approved as a Prospective Participants hereunder as relating to the acquisition of Products & Services that are available from XX Xxxxx through this Agreement unless such Products & Services are made available to the Prospective Participant through, under, and subject to the terms of this Agreement.
