Examples of Alliance Managers in a sentence
Alliance Managers or other employees or consultants of a Party who are not representatives of the Parties on the JDT may attend meetings of the JDT; provided, however, that such attendees (a) shall not vote or otherwise participate in the decision-making process of the JDT and (b) are bound by obligations of confidentiality and non-disclosure at least as protective of the other Party as those set forth in Article 10.
The Committees and the various Subcommittees and Working Groups shall be co-chaired by one designated representative of each Party; provided that the co-chairs of the JSC may be the Alliance Managers of each Party.
If the -91- Alliance Managers are unable to resolve such a dispute within [***] of the dispute being referred to them, either Party may require that the Parties forward the matter to the Executive Officers (or designees with similar authority to resolve such dispute), who will attempt in good faith to resolve such dispute.
Except for Committee Matters subject to a Party’s final decision making authority under this Agreement, in the event of a dispute under this Agreement, the Parties will refer the dispute to the Alliance Managers for discussion and resolution.
The Alliance Managers shall be the primary point of contact for the Parties regarding the activities contemplated by this Agreement and shall facilitate all such activities hereunder, except to the extent that such matters are coordinated by the JSC, another Committee or a Subcommittee or Working Group.
