Expenses; Certain Payments. If the Merger is consummated, all costs and expenses incurred in connection with this Agreement and the transactions contemplated hereby shall be paid by the party incurring such expenses. Notwithstanding the foregoing, (a) in the event that the Company materially breaches this Agreement and the Merger is not consummated because of such breach, the Company shall pay the reasonable costs and expenses incurred by the counsel and accountants of CBRL, Cracker Barrel and LRI, and (b) in the event that CBRL, Cracker Barrel or LRI, as the case may be, materially breaches this Agreement and the Merger is not consummated because of such breach, CBRL, Cracker Barrel and LRI shall pay the reasonable costs and expenses incurred by the counsel and accountants of the Company; provided however, that no party shall be required to pay the other party's costs and expenses in excess of $500,000. Expenses; Certain Payments. (a) Except as otherwise provided in this Section 10.4 or agreed in writing by the parties, each party shall bear its own expenses (including the fees and expenses of any attorneys, accountants, investment bankers, brokers, finders or other intermediaries or other Persons engaged by it) incurred in connection with this Agreement and the transactions contemplated by this Agreement. Expenses; Certain Payments. (a) In the event that this Agreement shall be terminated by Purchaser pursuant to Section 6.2 (a "Purchaser Termination"), Seller shall promptly (and, in any event, within five days after submission of statements therefor) pay Purchaser all its reasonable and documented out-of-pocket fees and expenses incurred in connection with this Agreement, including legal fees and expenses and amounts payable to bank financial institutions and investment bankers in connection with any financing of the transactions contemplated hereby in an amount not to exceed $750,000.   • Delay in Payments Notwithstanding any provision of this Agreement to the contrary, if any of the severance payments are subject to Section 409A and the Employee is a “Specified Employee” at the time of his Separation from Service, no payments shall be made to the Employee prior to the first business day following the date which is six (6) months after the Employee’s Separation from Service. Any amounts that would have been paid during the six (6) months following the Employee’s Separation from Service will be paid on the first business day following the expiration of the six (6) month period without interest thereon. The Employee may not elect the taxable year of such payment. The six (6) month delay for a Specified Employee does not apply if the Employee dies.

  • Distributions Payable in Cash; Redemption Payments In the event that the Board of the Investment Company shall declare a distribution payable in cash, the Investment Company shall deliver to FTIS written notice of such declaration signed on behalf of the Investment Company by an officer thereof, upon which FTIS shall be entitled to rely for all purposes, certifying (i) the amount per share to be distributed, (ii) the record and payment dates for the distribution, and (iii) that all appropriate action has been taken to effect such distribution.
