Expenses; Legal Fees. Each party will pay its own expenses in the negotiation, preparation and performance of this Agreement. The prevailing party in any action relating to this Agreement will be entitled to reasonable legal fees, costs and expenses incurred in such action.

The Company shall pay, or reimburse Executive for, all administrative fees and costs, and all arbitrator’s fees and expenses incurred by Executive in connection with any Dispute arising out of or related to this Agreement. The Company shall pay, or reimburse Executive for, all expenses and reasonable attorney’s fees incurred by Executive in connection with any Dispute arising out of or relating to this Agreement or the interpretation thereof with respect to which Executive prevails. In addition, the Company shall pay Executive’s reasonable attorney’s fees incurred in connection with negotiating and documenting this Agreement and all other agreements related to Executive’s employment by the Company.

The Corporation shall pay to you all expenses and reasonable attorneys' fees incurred by you in connection with any Dispute (including, without limitation, all such fees and expenses, if any, incurred in contesting or disputing any termination of your employment or in seeking to obtain or enforce any right or benefit provided by this Agreement, or in connection with any tax audit or proceeding to the extent attributable to the application of Section 4999 of the Code to any payment or benefit provided hereunder) if you prevail on the principal material issues which are in dispute with respect to such Dispute.

In connection with this Agreement or any transaction contemplated hereby, each party shall pay its respective expenses, including, but not limited to, legal, accounting, brokers’ and investment banking fees and expenses. In the event of any dispute relating to this Agreement, the non-prevailing party shall pay the expenses and costs of the prevailing party, including but not limited to legal fees and costs.

The Company will reimburse Employee for reasonable travel, entertainment or other expenses incurred by Employee in furtherance or in connection with the performance of Employee’s duties hereunder, in accordance with applicable law and the Company’s expense reimbursement policy as in effect from time to time. Additionally, upon presentation of appropriate documentation, the Company shall reimburse Employee’s reasonable counsel fees incurred in connection with the negotiation and documentation of this Agreement (the “Legal Fees”); provided however, that in no event shall the Company’s payment obligations with regard to the Legal Fees exceed $15,000 in the aggregate.

On the dates of each of the Unit Closings, the Company shall be responsible for the following legal and other associated costs of the Purchaser in connection with this Agreement and the transactions contemplated hereunder, to be paid from the proceeds upon each respective Unit Closing: (i) 5% of the gross investment amount as a non accountable due diligence fee and expense reimbursement payable to Radnor Research & Advisory Co., LLC, Member NYSE (ii) legal fees of: (A) up to $10,000 for the Initial Closing; (B) up to $5,000 for the Second Closing; and (C) up to $5,000 for the Third Closing. Subject to the foregoing clause, each of the parties shall be responsible for their own legal and other associated costs of this transaction.

The Company shall pay or reimburse the Executive Chairman for reasonable out-of-pocket expenses incurred by the Executive Chairman during the Term in the performance of the Executive Chairman’s services under this Agreement, in accordance with Company policy for its senior executives and subject to the Reimbursement Rules (as defined in Section 5(e) below). The Company shall pay to the Executive Chairman all reasonable legal fees and expenses incurred by him as a result of a termination of employment described in Section 6(b) or (c) (including all such reasonable fees and expenses, if any, incurred in contesting or disputing any such termination or in seeking to obtain or enforce any right or benefit provided in this Agreement), which payments shall be subject to the Reimbursement Rules.
