Experienced Investor. The Purchaser has sufficient knowledge and experience in financial and business matters so as to be capable of evaluating the merits and risks of its investment in the Purchased Shares. The Purchaser is capable of bearing the economic risks of such investment, including a complete loss of its investment.
Experienced Investor. Seller is and shall be an experienced investor, has and shall have knowledge and experience in financial and business matters as to be capable of evaluating the merits and risks of the sale, has made and shall have made all necessary inquiries of the Buyer and has had and shall have had access to all information respecting Flex Fuels Energy, Inc. that Seller has requested.
Experienced Investor. The Purchaser is (i) experienced in making investments of the kind described in this Agreement, (ii) able, by reason of his business and financial experience, to protect his own interests in connection with the transactions described in this Agreement, and (iii) able to afford the loss of the entire Purchase Price.
Experienced Investor. Each Purchaser (i) is an investor experienced in the ownership of businesses similar to the Subject Companies; (ii) has knowledge and experience in financial, business and investment matters as to be capable of evaluating the merits and risks of the transactions contemplated by this Agreement; and (iii) has the ability to bear the economic risks of the transactions contemplated by this Agreement.
Experienced Investor. Such Investor (i) has, by reason of its business and financial experience, such knowledge, sophistication and experience in financial and business matters and in making investment decisions of this type, and (ii) is capable of evaluating the merits and risks of investment decisions of this type, making an informed investment decision, protecting its own interest, bearing the economic risk of such investment for an indefinite period of time, and affording a complete loss of such investment.
Experienced Investor. Fiducia represents that it is experienced in evaluating and investing in private placement transactions of securities and acknowledges that it is able to fend for itself, can bear the economic risk of such investment, and has such knowledge and experience in financial and business matters that it is capable of evaluating the merits and risks of the investment in the Preferred Stock. Fiducia also represents that it has not been organized for the purpose of acquiring the Preferred Stock.
Experienced Investor. Buyer and its Affiliates have been engaged in the mining and natural resources businesses relevant to the assets transferred pursuant to the Transaction Documents. Buyer and its Affiliates are experienced with the operations and ownership obligations for assets such as the Transferred Properties. Buyer represents that it is a sophisticated party, and has conducted a full due diligence investigation of the Transferred
Experienced Investor. Buyer is an experienced investor in securities of companies and can bear the economic risk of a complete loss of its investment in the Stock. Buyer has such knowledge and experience in financial or business matters that it is capable of evaluating the merits and risks of the investment in the Stock.
Experienced Investor. Purchaser is an experienced and knowledgeable investor in oil and gas properties and has the financial and business expertise to evaluate the merits and risks of the transactions contemplated by this Agreement. In entering into this Agreement, Purchaser has relied solely on the express representations, warranties, and covenants of Sellers in this Agreement, its independent investigation of, and judgment with respect to, the Assets and the advice of its own legal, tax, economic, environmental, engineering, geological and geophysical advisors.
Experienced Investor. Refinery Buyer has been engaged in conducting refining, marketing and transportation businesses with respect to the South Refinery. Prior to entering into this Agreement, Buyers were advised by their own legal, tax and other professional counsel concerning this Agreement, the Transferred Properties and the value thereof. Buyers are aware of the risks and uncertainties of an investment in refining, marketing and pipeline properties and operations and are able to absorb a loss of their investment.
