Failure to Pay Other Ad Valorem Taxes. In addition to other events resulting in termination of this Agreement, if Company allows its ad valorem taxes owed to the City, County, Austin Community College and/or any school district or other local taxing entity to become delinquent and fails to timely and properly follow the legal procedures for their protest and/or contest, County may terminate this Agreement and Company shall refund to County all Grant Funds that have been paid by County for the two (2) years prior to the year of termination, and Company acknowledges that the Agreement will then be terminated and all future obligations of County shall cease.

  • Ad Valorem Taxes Prior to delinquency, Tenant shall pay all taxes and assessments levied upon trade fixtures, alterations, additions, improvements, inventories and personal property located and/or installed on or in the Premises by, or on behalf of, Tenant; and if requested by Landlord, Tenant shall promptly deliver to Landlord copies of receipts for payment of all such taxes and assessments. To the extent any such taxes are not separately assessed or billed to Tenant, Tenant shall pay the amount thereof as invoiced by Landlord.

  • LEVIES The PURCHASER is obliged to pay levies and other costs due and payable to the BODY CORPORATE from date on which the Body Corporate comes into existence, which levies shall be determined according to the provisions of the Act. In the event of the PURCHASER taking occupation after the coming into existence of the Body Corporate, he shall be liable for the levies and other costs due and payable from date of registration of transfer into his name. It is subject to revision by the final calculation of the Managing Agent and approval by the Trustees (Body Corporate). Levies will also be due and payable, in the event that an exclusive use parking bay is allocated per this Agreement.

  • Taxes, Fees and Levies (a) Seller shall be obligated to pay all present and future taxes, fees and levies, imposed on or associated with the Facility or delivery or sale of the Products (“Seller’s Taxes”). Buyer shall be obligated to pay all present and future taxes, fees and levies, imposed on or associated with such Products after Delivery of such Products to Buyer or imposed on or associated with the purchase of such Products (other than ad valorem, franchise or income taxes which are related to the sale of the Products and are, therefore, the responsibility of Seller) (“Buyer’s Taxes”). Buyer shall have the right to all credits, deductions and other benefits associated with taxes paid by Buyer or reimbursed to Seller by Buyer as described herein. Nothing shall obligate or cause a Party to pay or be liable to pay any taxes, fees and levies for which it is exempt under law.

  • Assessments and Taxes No assessments have been made against any portion of the Property which are unpaid (except ad valorem taxes for the current year), whether or not they have become liens, and Seller shall notify Buyer of any such assessments which are brought to Seller's attention after the execution of this Agreement. Parent -------------- shall be entitled to any refund of (or actual credit for when and as actually realized) Taxes for which it is liable under this Section 8.2(a). --------------
