Fees and Other Amounts Owed. (a) Merchant shall pay the fees and charges as set forth on the Fee Schedule and the published Service Providers’ fee schedule as same may be changed from time to time and which are incorporated herein by reference (the “Fee Schedules”). Unless otherwise noted, Merchant shall pay all fees monthly or daily as set forth on the Fee Schedules or at Service Providers’ sole discretion. The Bank Account will be debited through internal transfer or ACH initiated by Service Providers for such amounts and for any other fees, charges or adjustments incurred by Merchant and associated with processing services. Merchant is also obligated to pay all taxes and other charges imposed by any governmental authority on the services provided under this Agreement; (b) Merchant will immediately pay Service Providers any amount incurred by Service Providers attributable to this Agreement or any other agreement between Merchant and Service Providers or any subsidiary or affiliate of Merchant, including but not limited to equipment fees, compliance-related fees (including PCI), Chargebacks, fines or penalites imposed by a third party, non- sufficient fund fees, and ACH debits that overdraw the Bank Account, Reserve Account, or are otherwise dishonored. Merchant agrees to pay Service Providers the amount of any fees, charges or penalties assessed against Service Providers by any Card Network or Issuer for Merchant's violation of the by-laws, rules, regulations, guidelines, policy statements or threshold requirements of such parties. Merchant authorizes Service Providers to debit the Bank Account, Reserve Account, any other account Merchant has with Service Providers via internal transfer or ACH initiated by Service Providers for any amount Merchant owes under this Agreement, whether Merchant’s obligation is direct, indirect, primary, secondary, fixed, contingent, joint or several. In the event such transfer or ACH does not fully reimburse Service Providers for the amount owed, Merchant will immediately pay Service Providers such amount.

Fees and Other Amounts Owed. (a) Merchant shall pay to RMS the fees and charges set forth on this agreement and the Merchant Application. Merchant’s Account will be debited through ACH for such amounts and for any other fees, charges or adjustments incurred by Merchant and associated with processing services. Xxxxxxxx is obligated to pay all taxes and other charges imposed by any governmental authority on the services provided under this Agreement. RMS shall have the right to change fees, including adding fees for additional services utilized by Merchant, upon thirty (30) days written notice.
Fees and Other Amounts Owed. You agree to pay Till Payments the fees associated with the provision of the services contemplated hereunder, as specified on the Till Payments dashboard, and in accordance with this Agreement (including Exhibit A) and any other agreement between you and Till Payments (Fees). You understand and agree that Till Payments may direct Processor to pay Till Payments any Fees you owe out of amounts settled for your Transactions. You further agree that Till Payments may direct Processor to pay Till Payments any amounts you owe Till Payments in connection with transactions and agreements outside the scope of this Agreement. You agree that neither Processor nor Bank shall have any liability in connection with processing such payment instructions provided by Till Payments.

  • Fees and Other Charges (a) The Borrower will pay a fee on all outstanding Letters of Credit at a per annum rate equal to the Applicable Margin then in effect with respect to Eurodollar Loans under the Revolving Facility, shared ratably among the Revolving Lenders and payable quarterly in arrears on each Fee Payment Date after the issuance date. In addition, the Borrower shall pay to the Issuing Lender for its own account a fronting fee of 0.25% per annum on the undrawn and unexpired amount of each Letter of Credit, payable quarterly in arrears on each Fee Payment Date after the issuance date.

  • Travel and Other Expenses ODHS shall not reimburse Contractor for any travel or additional expenses under this Contract.

  • COMMISSIONS, CHARGES AND OTHER COSTS 23.1. The provision of services is subject to the payment of costs, fees, commissions, charges, taxes, etc (the “Costs”). In addition to those Costs, other costs may be due by the Client directly to third parties. The Client shall be obliged to pay all such costs the commissions, charges and other costs set.   • Payment of Taxes and Other Expenses Should City, in its discretion, or a relevant taxing authority such as the Internal Revenue Service or the State Employment Development Division, or both, determine that Contractor is an employee for purposes of collection of any employment taxes, the amounts payable under this Agreement shall be reduced by amounts equal to both the employee and employer portions of the tax due (and offsetting any credits for amounts already paid by Contractor which can be applied against this liability). City shall then forward those amounts to the relevant taxing authority. Should a relevant taxing authority determine a liability for past services performed by Contractor for City, upon notification of such fact by City, Contractor shall promptly remit such amount due or arrange with City to have the amount due withheld from future payments to Contractor under this Agreement (again, offsetting any amounts already paid by Contractor which can be applied as a credit against such liability). A determination of employment status pursuant to the preceding two paragraphs shall be solely for the purposes of the particular tax in question, and for all other purposes of this Agreement, Contractor shall not be considered an employee of City. Notwithstanding the foregoing, should any court, arbitrator, or administrative authority determine that Contractor is an employee for any other purpose, then Contractor agrees to a reduction in City’s financial liability so that City’s total expenses under this Agreement are not greater than they would have been had the court, arbitrator, or administrative authority determined that Contractor was not an employee.
