– Fees, Expenses and Insurance. 6.1. In consideration of the Management Services rendered, the Company shall pay, as of June 30, 2017, the Manager monthly fees of fifteen thousand Euros (EUR 15,000.00) (the “Fees”) payable on the last day of each calendar month and which shall be the sole remuneration for the Management Services rendered. The Parties acknowledge and agree that the compensation set forth in this Agreement represents the fair market value of the Management Services to be performed by the Manager to the Company. Such Fees are inclusive of all disbursements and overhead incurred by the Manager except as otherwise provided for herein. These Fees are exclusive of Value Added Tax (VAT). The Manager will pay any and all taxes in addition to the Fees invoiced. The Manager will pay, or reimburse the Company for the payment of all taxes, excluding VAT, related penalties and interest, except taxes for which the Manager has provided a certificate of exemption acceptable to both the Company and the appropriate taxing authority prior to delivery of the Management Services. The Manager agrees to indemnify, defend, and hold the Company harmless from any liability for, or assessment of, any suits, claims or penalties with respect to such withholding taxes, income taxes, labor, or employment requirements, including any liability for, or assessment of, withholding taxes imposed on the Company by the relevant taxing authorities with respect to any compensation paid to the Manager or Manager’s partners, directors, officers, agents, advisers, representatives or employees.

– Fees, Expenses and Insurance. (a) Whilst you perform your duties as non-executive director, the Society will pay you an annual director's fee of £ payable in monthly instalments in arrears subject to appropriate deductions for PAYE tax and Class 1 National Insurance Contributions. This will be reviewed at the absolute discretion of the Board on the recommendation of the Remuneration Committee. In addition you will be fully reimbursed for all out of pocket expenses which you may incur in the proper performance of your duties in accordance with the Society's normal procedures. However, you shall not participate in any Society funded pension scheme or other benefit in kind arrangements of the Group nor will you be entitled to any compensation for loss of office. The Society shall however, maintain indemnity insurance (current cover £15m) for its directors, details of which will be available from the Company Secretary.

Expenses to be borne by the Funds, include, but are not limited to: organizational expenses; cost of services of independent accountants and outside legal and tax counsel (including such counsel’s review of a Fund’s registration statement, proxy materials, federal and state tax qualification as a regulated investment company and other reports and materials prepared by the Administrator under this Agreement); cost of any services contracted for by the Funds directly from parties other than the Administrator; cost of trading operations and brokerage fees, commissions and transfer taxes in connection with the purchase and sale of securities for the Funds; investment advisory fees; taxes, insurance premiums and other fees and expenses applicable to its operation; costs incidental to any meetings of shareholders including, but not limited to, legal and accounting fees, proxy filing fees and the costs of preparation, printing and mailing of any proxy materials; costs incidental to Board meetings, including fees and expenses of Board members; the salary and expenses of any officer, director\trustee or employee of the Funds; costs incidental to the preparation, printing and distribution of the Funds’ registration statements and any amendments thereto and shareholder reports; cost of typesetting and printing of prospectuses; cost of preparation and filing of the Funds’ tax returns, Form N-1A or N-2 and Form N-SAR, and all notices, registrations and amendments associated with applicable federal and state tax and securities laws; all applicable registration fees and filing fees required under federal and state securities laws; fidelity bond and directors’ and officers’ liability insurance; and cost of independent pricing services used in computing each Fund’s net asset value. The Administrator is authorized to and may employ or associate with such person or persons as the Administrator may deem desirable to assist it in performing its duties under this Agreement; provided, however, that the compensation of such person or persons shall be paid by the Administrator and that the Administrator shall be as fully responsible to the Funds for the acts and omissions of any such person or persons as it is for its own acts and omissions.

  • Taxes and Insurance Borrower shall pay to Lender on each Payment Date (i) one-twelfth (1/12th) of the Taxes that Lender estimates will be payable during the next twelve (12) months in order to accumulate with Lender sufficient funds to pay all such Taxes at least thirty (30) days prior to their respective due dates and (ii) one-twelfth (1/12th) of the Insurance Premiums that Lender estimates will be payable for the renewal of the coverage afforded by the Policies upon the expiration thereof in order to accumulate with Lender sufficient funds to pay all such Insurance Premiums at least thirty (30) days prior to the expiration of the Policies. Such amounts will be transferred by Lender to a Subaccount (the “Tax and Insurance Subaccount”). Lender will (a) apply funds in the Tax and Insurance Subaccount to payments of Taxes and Insurance Premiums required to be made by Borrower pursuant to Section 5.2 hereof and Section 7.1 hereof, provided that Borrower has promptly supplied Lender with notices of all Taxes and Insurance Premiums due, or (b) reimburse Borrower for such amounts upon presentation of evidence of payment; subject, however, to Borrower’s right to contest Taxes in accordance with Section 5.2 hereof. In making any payment relating to Taxes and Insurance Premiums, Lender may do so according to any xxxx, statement or estimate procured from the appropriate public office (with respect to Taxes) or insurer or agent (with respect to Insurance Premiums), without inquiry into the accuracy of such xxxx, statement or estimate or into the validity of any tax, assessment, sale, forfeiture, tax lien or title or claim thereof. If Lender determines in its reasonable judgment that the funds in the Tax and Insurance Subaccount will be insufficient to pay (or in excess of) the Taxes or Insurance Premiums next coming due, Lender may increase (or decrease) the monthly contribution required to be made by Borrower to the Tax and Insurance Subaccount.

  • Reimbursement Costs (a) The Borrower agrees to reimburse the Bank for any expenses it incurs in the preparation of this Agreement and any agreement or instrument required by this Agreement. Expenses include, but are not limited to, reasonable attorneys’ fees, including any allocated costs of the Bank’s in-house counsel to the extent permitted by applicable law.
