Annual Director definition

Annual Director. S FEE" means the annual amount (which may be prorated for a Director serving less than a full one year term, as in the case of a Director who will be retiring or not standing for reelection at the annual meeting of shareholders or a Director joining the Board after the annual meeting of shareholders) established from time to time by the Board as the annual fee to be paid to Directors for their services as directors.
Annual Director s Retainer” means the aggregate annual amount of an Outside Director’s board retainer fee payable pursuant to section 1 of the Company’s Non-Employee DirectorsCompensation Plan (or comparable section of any successor plan), whether or not all or a portion of such amount is deferred or delayed. Such amount will be determined as of the earlier of the date a Participant ceases to be an Outside Director or the date the Participant dies.
Annual Director s Grant” means the annual grant of an Award of Units to a Director Participant as set forth in Section 5(b) hereof.

  • The Cash Portion of the Annual Director Fee (after reduction pursuant to Section 4.3 hereof, if any) shall be paid to an Eligible Director in four equal quarterly installments in arrears on the first business day following the end of each quarter of the Plan Year in which the Eligible Director provided services to the Company.

Annual Director s Fees” means any compensation, whether for Board meetings or as retainer fees or otherwise, earned by a Member for services rendered as a Member during a particular Plan Year in which he or she has elected to be a Participant.
