Fees Payments Taxes. 3.01 Computation of Interest, Fees; Change in Debt Rating. ----------------------------------------------------
(a) The Company agrees to pay to each Lender for its own account an upfront fee (i) on the date which is the earlier of the Closing Date or November 30, 2000 in an amount equal to such Lender's Commitment multiplied by 0.15% and (ii) on the date which is 60 days after the Closing Date in an amount equal to such Lender's Commitment (regardless of utilization) multiplied by 0.35%.
(b) All computations of interest payable in respect of Reference Rate Loans shall be made on the basis of a year of 365 days or 366 days, as the case may be, and actual days elapsed. All computations of interest in respect of Offshore Rate Loans and all computations of fees under this Agreement shall be made on the basis of a year of 360 days and actual days elapsed.
(c) Each determination of an interest rate by the Agent pursuant to any provision of this Agreement shall be conclusive and binding on the Company and the Lenders in the absence of manifest error. The Agent, upon determining the Offshore Rate for any Interest Period, shall promptly notify the Company and the Lenders thereof.
(d) If the Company fails to notify the Agent of any change in the Debt Rating or the occurrence of the Post-Acquisition Rating Date as and when required by Section 7.10(c), and such notification would have caused an increase --------------- in any applicable margin pursuant to Section 2.07, then the Company shall pay to ------------ the Agent upon demand any amount of interest or fees payable by the Company hereunder after such change in the Debt Rating that exceeds the amount actually paid had such notice been timely given.
(e) To the extent that the Closing Date shall not have occurred on or prior to November 30, 2000, the Company agrees to pay all fees and expenses referenced in Section 6.02(c) on such date.

The Reseller is free to establish retail pricing for its own Customers. If the Company’s retail pricing is lowered, the Reseller’s discount may or may not be adjusted to match the above Reseller Price, at the discretion of the Company. Resellers on a pay-as-you-go plan will be provided a time-limited coupon to use during the check-out process. When a Reseller coupon expires, the Reseller will need to contact Company’s Support to receive a new coupon.

Fees Payments Taxes. Customer shall pay all Fees specified in the currency stated in the order and if none stated then in USD. Except as provided below, Fees are non-refundable. Unless otherwise arranged by express written agreement between the parties, XXX Hydromet shall invoice Customer annually in advance and Customer shall pay XXX Hydromet fees for HYDROMET CLOUD in the amount and on the following terms, free and clear of, and without any reduction for, any and all taxes (the “Fees”). Fees are due thirty (30) days from the invoice date. Delinquent payments shall bear interest at the rate of one and one half percent (1.5%) per month (or the highest rate permitted by law, if less) from the payment due date until paid in full. Payments may be applied first against interest and collection costs and then Fees. Customer agrees to pay all late charges imposed and all reasonable expenses (including attorneys’ fees) incurred by XXX Hydromet in collecting unpaid or delinquent amounts. If Customer’s account is thirty (30) or more days overdue, in additional to any of its other rights and remedies, XXX Hydromet may suspend Customer’s access to HYDROMET CLOUD without liability to Customer.

Fees Payments Taxes. You will pay us the fees and expenses described in the Letter (the “Fees”). Invoices will be submitted to you as the Services are performed and expenses are incurred. Invoices become delinquent if not paid within 30 days of the invoice date and will be subject to a 1% per month late charge. In addition, if you are delinquent in paying any invoice, we may immediately stop performing the Services and you will no longer be entitled to any discounted rates described in the Letter. Our fees are exclusive of taxes or similar charges, as well as customs, duties or tariffs imposed in respect of the Services, all of which you will pay (other than taxes imposed on our income) and indemnify us for nonpayment.
