Filing of Actions. Neither Party may file an action to resolve a dispute prior to 20 Business Days (or such other period as may be agreed between the Parties) after an escalation pursuant to Section 19.2(b).

Filing of Actions. Horizon Pharma shall file an action against any applicant seeking FDA approval to market a generic version of DUEXIS or LODOTRA, including Par Pharmaceutical, Inc., as warranted after a reasonable, good faith pre-litigation review, alleging infringement of the patents identified in such applicant’s notice-of-certification letter pursuant to Section 505(j)(2)(B)(ii) of the U.S. Federal Food, Drug and Cosmetic Act within 45 days after receiving such applicant’s detailed statement of the factual and legal bases for such applicant’s opinion regarding invalidity, unenforceability and non-infringement of such patents. Horizon Pharma shall provide a copy of such applicant’s detailed statement and the related complaint filed by Horizon Pharma to the Administrative Agent and the Lenders in accordance with Section 11, and, upon reasonable request of the Lenders, will make its officers available to provide reasonable updates to the Lenders regarding the status of such litigation.
