Final Adjustment Amounts. The post-closing adjustment shall be an amount equal to the Net Working Capital as set forth in the final Closing Statement minus the Net Working Capital as set forth in the Pre-Closing Statement (the “Post-Closing Adjustment”). If the Post-Closing Adjustment is a negative number, then the Consideration payable by Parent to the Transferor shall be reduced by an amount equal to the absolute value of the Post-Closing Adjustment (the “Difference”); if the Post-Closing Adjustment is a positive number, then the Consideration payable by Parent to the Transferor shall be increased by an amount equal to the Difference. Any downward or upward adjustment to the Consideration under this Section 2.9(e) shall be effected, at the election of Parent in its sole discretion, as follows: (x) the Transferor Parties or Parent, as applicable, shall promptly, but in no event later than five (5) Business Days following determination of the Post-Closing Adjustment in accordance with this Section 2.9, pay to Parent or the Transferor Parties, as applicable, an amount in cash equal to the Difference, (y) Parent shall cancel, in the manner set forth in Section 9.9 or issue, as applicable, a number of fully paid non-assessable shares of Parent Common Stock equal to the Difference divided by the Average Per Share Price as of the Closing Date or (z) the obligations under this Section 2.9(e) shall be satisfied using a combination of a cash payment under (x) and a cancellation or issuance, as applicable, of Parent Common Stock under (y).

Final Adjustment Amounts. For purposes of this Agreement, “Final Closing Working Capital”, “Final Hostess Transaction Costs”, “Final Hostess Cash”, “Final Rollover Indebtedness Amount”, and “Final LTIP Payment Amount” mean the amount of such items (i) as shown in the Adjustment Statement delivered by the Buyer to the Sellers’ Representative pursuant to Section 2.5(b), if such amounts are equal to the corresponding amounts set forth in the Estimated Adjustment Statement or if no Adjustment Notice of Objection with respect thereto is timely delivered by the Sellers’ Representative to the Buyer pursuant to Section 2.5(d) or (ii) if an Adjustment Notice of Objection is so delivered, (A) as agreed by the Buyer and the Sellers pursuant to Section 2.5(d) or (B) in the absence of such agreement, as determined in the Independent Expert’s report delivered pursuant to Section 2.5(d).

If the Post-Closing Adjustment is a negative number, then the Merger Consideration and the Closing Note Holder Payments, in accordance with the respective aggregate Pro Rata Portions of the Eligible Stockholders and the Note Holders, shall be reduced by an amount equal to the absolute value of the Post-Closing Adjustment (the “Difference”); if the Post-Closing Adjustment is a positive number, then the Merger Consideration and the Closing Note Holder Payments, in accordance with the respective aggregate Pro Rata Portions of the Eligible Stockholders and the Note Holders, shall be increased by an amount equal to the Difference; provided, however, that no downward or upward adjustment to the Merger Consideration and the Closing Note Holder Payments under this Section 1.7(e) shall be required unless the Difference exceeds five percent (5%) of the Working Capital Target or one hundred thousand dollars ($100,000), whichever is greater. Any downward or upward adjustment to the Merger Consideration and the Closing Note Holder Payments, under this Section 1.7(e) shall be effected by Parent instructing its transfer agent to cancel or issue, as applicable, a number of fully paid non-assessable shares of Parent Common Stock equal to the Difference divided by the Per Share Price.

  • Final Adjustment As soon as practicable, the Company will prepare and deliver to Centerprise a final calculation of Net Working Capital revised to reflect all collections of AR up to the date 180 days from the Closing Date. Centerprise will review such calculation and any records, work papers and other documents related thereto. Within 10 days of receipt of such calculation, Centerprise will deliver to the Member Representative a written report indicating the amount and nature of any adjustment to the Basic Purchase Consideration determined in accordance with Section 2.2.1 (the "Final Adjustment").

The Calculation Agent shall notify Counterparty prior to making any such adjustment to the Forward Price.   • Post-Closing Adjustments As soon as practicable after the Closing, but in no event later than one hundred eighty (180) days thereafter, Seller shall prepare and deliver to Purchaser a final settlement statement (the “Final Settlement Statement”) setting forth each adjustment or payment that was not finally determined as of the Closing and showing the calculation of such adjustments and the resulting Final Purchase Price. Seller shall make its workpapers and other information available to Purchaser to review in order to confirm the adjustments shown on Seller’s draft. As soon as practicable after receipt of the Final Settlement Statement, but in no event later than sixty (60) days thereafter, Purchaser shall deliver to Seller a written report containing any changes that Purchaser proposes to make to the Final Settlement Statement. Any failure by Purchaser to deliver to Seller the written report detailing Purchaser’s proposed changes to the Final Settlement Statement within sixty (60) days following Purchaser’s receipt of the Final Settlement Statement shall be deemed an acceptance by Purchaser of the Final Settlement Statement as submitted by Seller. The parties shall agree with respect to the changes proposed by Purchaser, if any, no later than sixty (60) days after Seller receives from Purchaser the written report described above containing Purchaser’s proposed changes. If the Purchaser and the Seller cannot then agree upon the Final Settlement Statement, the determination of the amount of the Final Settlement Statement shall be submitted to a mutually agreed firm of independent public accountants (the “Accounting Firm”). The determination by the Accounting Firm shall be conclusive and binding on the parties hereto and shall be enforceable against any party hereto in any court of competent jurisdiction. Any costs and expenses incurred by the Accounting Firm pursuant to this Section 12.1 shall be borne by the Seller and the Purchaser equally.
