Fish & Richxxxxxx X. X. shall have furnished to the Representatives its written opinion, as special intellectual property counsel to the Company, addressed to the Underwriters and dated such Delivery Date, in form and substance reasonably satisfactory to the Representatives, to the effect that:

Fish & Richxxxxxx X. X. shall have furnished to the Representative its written opinion, as patent counsel to the Company, addressed to the Underwriters and dated such Delivery Date, in form and substance reasonably satisfactory to the Representative, to the effect that it serves as special patent counsel to the Company with respect to the Proprietary Rights, and that: (i) The information in the Prospectus contained under the headings "Risk Factors--Our inability to protect our proprietary technologies could harm our competitive position," "Business--General," "Business--Thoratec Circulatory Support Products," "Business--Advantages of the Thoratec VAD System--Thoratec Biomaterials," "Business--Thoratec Biomaterials--Thoralon," "Business--Thoratec Vascular Graft Products," "Business--Patents and Proprietary Rights" and "Business--Competition," to the extent that it constitutes description of legal matters or summaries of legal matters, documents or proceedings, has been reviewed by such counsel and is correct in all material respects and it fairly and correctly presents the information presented therein; (ii) To such counsel's knowledge, there are no pending legal or governmental proceedings, or allegations on the part of any person of infringement by the Company of patents, trade secrets, trademarks, service marks, or copyrights of others, nor to such counsel's knowledge, has the Company been advised that such proceedings are threatened or contemplated. To such counsel's knowledge, the Company is not infringing any patents, trademarks, service marks, copyrights or violating any trade secrets of others. Such counsel has conducted an infringement search of the United States Patent and Trademark Office (the "PTO") patent records in the subject matter areas of biomaterials and arterial grafts, and has reviewed the patents uncovered in the search. Such counsel has not reviewed the prosecution files and makes no opinion as to such files. To such counsel's knowledge, no person is infringing or otherwise violating any of the Company's patents, trade secrets, trademarks, service marks, copyrights or other proprietary information or know-how of the Company in any way which could materially affect the use thereof by the Company; (iii) To such counsel's knowledge, the Company owns or possesses sufficient licenses or other rights to use all patents, trade secrets, trademarks, service marks or other proprietary information or know-how described in the above-identified headings of the Prospec...
