For ATV the ATV Guaranteed Program License Fee for a 12 month period. For purposes hereof, "ATV Guaranteed Program License Fee" means (i) *** and (ii) for each subsequent 12 month period, such increased amount as is set forth in the Business Plan as modified by the Annual Budget for such period; provided, however, that if the Venture elects to offer ATV as an independent feed and in connection therewith elects to decrease the number of movies licensed from PEGI as provided in Section 9.3 above, the "ATV Guaranteed Program License Fee" per movie will be $*** subject to the same percentage increases as apply to the initial license fees (i.e., as set forth in the Business Plan as modified by the Annual Budget for the respective period).

For ATV. The Program License Fees payable with respect to ATV will continue as set forth in Section 10.1.2.
For ATV. Initially, the ATV Service will be a retransmission of ------- the US AdulTVision feed in the English language. Should the Venture determine that the Service be transmitted off this same US AdulTVision feed in Spanish and/or Portuguese (via a Second Audio Program or similar means), the costs of implementing such transmission in these languages will be paid by the Venture. The transmission to the Venture's ATV customers will be via the Galaxy III-R satellite or any successor.
For ATV. The Venture will acquire from PEG *** new film titles per year commencing on the ATV Launch Date consistent with the type and quality currently exhibited on ATV in the United States. The Venture will own or control any and all rights that PEG owns or controls for such movies *** .

  • Restaurants, Bars, Machines, Other Income All monies received in connection with bar, restaurant, banquet and similar and other services at the Hotel (other than amounts due from any guest and included in room rentals) prior to the close of business for each such operation for the night in which the Cutoff Time occurs shall belong to Seller, and all other receipts and revenues (not previously described in this Section 12.1) from the operation of any department of the Hotel shall be prorated between Seller and Buyer at Closing.

  • Furniture For no additional charge, Landlord hereby leases to Tenant and Tenant hereby leases from Landlord those items of furniture and artwork situated in the Premises (the “FURNITURE”) and described on the inventory list attached hereto as EXHIBIT C (the “INVENTORY LIST”). Landlord hereby represents to Tenant that Landlord owns the Furniture and has the right to lease the Furniture to Tenant as described herein. Landlord and Tenant acknowledge that prior to the Lease Commencement Date the parties will conduct a “walk-through” inspection of the Premises in order to confirm the completeness and accuracy of the furniture shown on the Inventory List, and to give Tenant the opportunity to confirm that the Furniture is in good condition and repair. Subject to such “walk-through” inspection, Tenant accepts the Furniture in its “as-is” condition, without any representation or warranty by Landlord. LANDLORD SPECIFICALLY DISCLAIMS ANY REPRESENTATIONS AND/OR WARRANTIES, INCLUDING, WITHOUT LIMITATION, ANY WARRANTY OF MERCHANTABILITY OR OF FITNESS FOR A PARTICULAR PURPOSE WITH RESPECT TO THE FURNITURE. During the Term of this Lease, Tenant shall maintain and repair the Furniture as reasonably necessary, and shall insure the same along with its other personal property pursuant to ARTICLE 10 hereof. Upon the expiration or earlier termination of this Lease, Tenant shall surrender the Furniture to Landlord in the same condition and repair as on the Lease Commencement Date, reasonable wear and tear and damage by casualty excepted.

  • Vending Machines Seller shall remove all monies from all vending machines, laundry machines, pay telephones and other coin-operated equipment as of the Cut-Off Time and shall retain all monies collected therefrom as of the Cut-Off Time, and Purchaser shall be entitled to any monies collected therefrom after the Cut-Off Time.

  • Keys All of the keys to any door or lock on the Property in Seller’s possession, if any; and

  • Prohibited Signage and Other Items Any signs, notices, logos, pictures, names or advertisements which are installed and that have not been separately approved by Landlord may be removed without notice by Landlord at the sole expense of Tenant. Tenant may not install any signs on the exterior or roof of the Project or the Common Areas. Any signs, window coverings, or blinds (even if the same are located behind the Landlord-approved window coverings for the Building), or other items visible from the exterior of the Premises or Building, shall be subject to the prior approval of Landlord, in its sole discretion.

  • Trash Tenant shall not allow anything to be placed on the outside of the Building, nor shall anything be thrown by Tenant out of the windows or doors, or down the corridors, elevator shafts, or ventilating ducts or shafts of the Building. All trash shall be placed in receptacles provided by Tenant on the Premises or in any receptacles provided by Landlord for the Building.

  • Doors Doors for entrance to and exit from the Premises shall be kept closed at all times, except when in use for entering or exiting the Premises.

  • Capital Equipment Collaborator’s commitment, if any, to provide ICD with capital equipment to enable the research and development activities under the Research Plan appears in Appendix B. If Collaborator transfers to ICD the capital equipment or provides funds for ICD to purchase it, then ICD will own the equipment. If Collaborator loans capital equipment to ICD for use during the CRADA, Collaborator will be responsible for paying all costs and fees associated with the transport, installation, maintenance, repair, removal, or disposal of the equipment, and ICD will not be liable for any damage to the equipment.
