Forfeiture of Right to Receive Incentive Payment. The Company agrees and acknowledges that the Retention Incentive provided for in subsection 2(b)(i) is being made by the City to the Company in consideration for the Company’s agreement to construct the New Office Building to provide for the retention and expansion of an office and associated operations and workforce within the City and to retain existing and create new jobs and employment opportunities, all within the City. The Company further agrees that if the requirements of subsection 2(b)(i) are not satisfied, the City shall not be obligated to remit the Retention Incentive to the Company as required by this subsection 2(b).

An Executive will not be considered to have been terminated by reason of the divestiture of a facility, sale or other disposition of a business or business unit, or the outsourcing of a business activity with which the Executive is affiliated, notwithstanding the fact that such divestiture, sale or outsourcing takes place within two years following a Change in Control, if the Executive is offered comparable employment by the successor company and such successor company agrees to assume the Company's obligations to the Executive under this Agreement.
