Form of License. Calculation of Revenue: The preferred form of end-user software license will be a five-year license for a specified number of Authorized Simultaneous Users to be agreed upon by both parties regardless of who sells the product. The term "sale," "sell," "selling party" or any derivation thereof or similar term used in this Agreement is solely for the convenience of the parties, and both parties agree that all end-user transactions regarding the use of HYSYS-IPE and/or any other Jointly Developed Product shall be pursuant to a license agreement only, and that no ownership rights or title shall transfer. In addition, under no circumstances shall any Proprietary Information, including specifically source code, transfer or be placed in escrow with any end-user or anyone else.

  • Term of License Unless terminated earlier, this Agreement will expire without notice on the date set forth on the Rider. You acknowledge and agree that this Agreement is non-renewable and that this Agreement confers upon you absolutely no rights of license renewal whatsoever following the expiration of the License Term.

  • Form of Agreement Although the parties have executed this Agreement in the form of a Master Participation Agreement for administrative convenience, this Agreement shall create a separate participation agreement for each Fund, as though the Company and the Underwriter had executed a separate, identical form of participation agreement with each Fund.   • Form of Instruction Each Instruction shall be transmitted by such secured or authenticated electro-mechanical means as the Custodian shall make available to the Fund from time to time unless the Fund shall elect to transmit such Instruction in accordance with Subsections 4.2.1 through 4.2.3 of this Section.

  • Termination of Licenses In the event of a termination of this Agreement by COMPANY pursuant to Article 9.2. 9.3 or 9.4 or by SELEXIS pursuant to Article 9.2 or 9.3, all and any rights and licenses granted under this Agreement shall terminate upon termination of this Agreement, except for the licenses which have become perpetual pursuant to Article 3.1.3.
