Former Client Confidential Information Sample Clauses
Former Client Confidential Information. Consultant agrees that Consultant will not, during the term of this Agreement, improperly use or disclose any proprietary information or trade secrets of any former or current employer of Consultant or other person or entity with which Consultant has an agreement or duty to keep in confidence information acquired by Consultant, if any. Consultant also agrees that Consultant will not bring onto the Company’s premises any unpublished document or proprietary information belonging to any such employer, person or entity unless consented to in writing by such employer, person or entity.
Former Client Confidential Information. Contractor will not improperly use or disclose any proprietary information or trade secrets of any former or concurrent client of Contractor or other person or entity. Furthermore, Contractor will not bring onto the premises of the Company any unpublished document or proprietary information belonging to any client, person, or entity unless consented to in writing by the client, person, or entity.

ESLI also agrees that ESLI will not bring onto Kulr’s premises any unpublished document or proprietary information belonging to any such employer, person or entity unless consented to in writing by such employer, person or entity.

Xxxxx agrees that Xxxxx will not, during the term of this Agreement, improperly use or disclose any proprietary information or trade secrets of any former or current employer of Xxxxx or other person or entity with which Joint Venture Agreement Xxxxx has an agreement or duty to keep in confidence information acquired by Xxxxx, if any. Xxxxx also agrees that Xxxxx will not bring onto MedBox’s premises any unpublished document or proprietary information belonging to any such employer, person or entity unless consented to in writing by such employer, person or entity.

Host shall not, without prior written consent of Company and third party, use or disclose any confidential, proprietary information, trade secrets or know-how of any former or concurrent client of Host or other person or entity for any purpose other than the performance of Host Services. Furthermore, Host shall not bring onto the premises of Company or Company vendor any unpublished document or proprietary information belonging to any client, person, or entity unless consented to in writing by the client, person, or entity. Host shall indemnify, defend and hold harmless Company from and against all claims, liabilities, damages or expenses in any form whatsoever, including reasonable attorneys’ fees and costs, arising out of or in connection with any violation or claimed violation of Host’s duty to maintain the confidence of the third party’s information in accordance with these Terms.

Sr. Advisor agrees that Sr. Advisor will not, during the term of this Agreement, improperly use or disclose any proprietary information or trade secrets of any former or current employer of Sr. Advisor or other person or entity with which Sr. Advisor has an agreement or duty to keep in confidence information acquired by Sr. Advisor, if any. Sr. Advisor also agrees that Sr. Advisor will not bring onto the Company’s premises any unpublished document or proprietary information belonging to any such employer, person or entity unless consented to in writing by such employer, person or entity.

Unless provided to the Consultant by Molex or an affiliate for purposes of performing Services, Consultant also agrees that Consultant will not bring onto Molex’s premises any unpublished document or proprietary information belonging to any former employer, person or entity unless consented to in writing by such employer, person or entity. Notwithstanding, the last sentence of this paragraph shall not apply to Molex’s or its affiliates’ unpublished documents or proprietary information that Molex or an affiliate provides to the Consultant for purposes of performing Services.

O’Reilly agrees that O’Reilly will not, during the term of this Agreement, improperly use or disclose any proprietary information or trade secrets of any former or current employer of O’Reilly or other person or entity with which O’Reilly has an agreement or duty to keep in confidence information acquired by O’Reilly, if any. O’Reilly also agrees that O’Reilly will not bring onto the Company’s premises any unpublished document or proprietary information belonging to any such employer, person or entity unless consented to in writing by such employer, person or entity.
