Common use of Fringe Benefits Clause in Contracts

Fringe Benefits. During the Employment Period, the Executive shall be entitled to such fringe benefits and perquisites as are provided by the Company to its senior executives from time to time, in accordance with the policies, practices and procedures of the Company, and shall receive such additional fringe benefits and perquisites as the Company may, in its discretion, from time-to-time provide.

Fringe Benefits. During the Employment Period, the Executive shall be entitled to such fringe benefits and perquisites as are provided by the Company to its senior executives from time to time, in accordance with the policies, practices and procedures of the Company, and shall receive such additional fringe benefits and perquisites as the Company may, in its discretion, from time-to-time provide.

Fringe Benefits. During the Employment Period, the Executive shall be entitled eligible to receive such fringe benefits and perquisites as are provided by the Company to its senior executives employees from time to time, in accordance with the policies, practices and procedures of the Company, and shall receive such additional fringe benefits and perquisites as the Company may, in its discretion, from time-to-time provide.

Fringe Benefits. During the Employment Period, the Executive shall be entitled to such fringe benefits and perquisites as are provided by the Company to its senior executives from time to time, in accordance with the policiesmost favorable plans, practices practices, programs and procedures policies of the CompanyCompany and its affiliated companies in effect at any time during the one-year period immediately preceding the Effective Date or, and shall receive such additional fringe benefits and perquisites if more favorable to the Executive, as in effect at any time thereafter with respect to other peer executives of the Company may, in and its discretion, from time-to-time provideaffiliated companies.

Fringe Benefits. During the Employment Period, the Executive shall be entitled to such fringe benefits and perquisites as are provided by the Company to its senior executives from time to time, in accordance with the policiesmost favorable plans, practices practices, programs and procedures policies of the Company, Company and shall receive such additional fringe benefits and perquisites as its affiliated companies in effect for the Company may, in its discretion, from timeExecutive at any time during the 90-to-time provideday period immediately preceding the Applicable Date.

Fringe Benefits. During the Employment Period, the Executive shall will be entitled to such fringe benefits and perquisites as are provided by the Company to its senior executives from time to time, in accordance with the policiesmost favorable plans, practices policies and procedures programs of the CompanyCompany and its affiliated companies in effect for the Executive at any time during the six months immediately preceding the Change in Control Date or, and shall receive such additional fringe benefits and perquisites if more favorable to the Executive, as in effect generally from time to time after the Change in Control Date with respect to other peer executives of the Company may, in and its discretion, from time-to-time provideaffiliated companies.

Fringe Benefits. During the Employment PeriodTerm, the Executive shall be entitled to such fringe benefits (including but not limited to Company cars, club dues and perquisites as are provided by the Company to its senior executives from time to time, physical examinations) in accordance with the policiesmost favorable plans, practices practices, programs and procedures policies of the CompanyCompany and its affiliated companies in effect for the Executive at any time during the twelve (12) month period immediately preceding the Effective Date or, and shall receive such additional fringe benefits and perquisites if more favorable to the Executive, as in effect generally at any time thereafter with respect to other peer executives of the Company may, in and its discretion, from time-to-time provideaffiliated companies.

Fringe Benefits. During the Employment Period, the Executive shall be entitled to such fringe benefits and perquisites as are provided by the Company may be available generally to its other senior executives from time to time, in accordance with the policies, practices and procedures of the Company, and shall receive such additional fringe benefits and perquisites as the Company may, in its discretion, from time-to-time provide.

During the Employment Period, the Executive shall be entitled to such fringe benefits and perquisites as are provided by the Company to its senior executives from time to time, in accordance with the policiesmost favorable plans, practices practices, programs and procedures policies of the CompanyCompany and its affiliated companies in effect for the Executive at any time during the 120-day period immediately preceding the Effective Date or, and shall receive such additional fringe benefits and perquisites if more favorable to the Executive, as in effect generally at any time thereafter with respect to other peer executives of the Company may, in and its discretion, from time-to-time provideaffiliated companies.

Fringe Benefits. During the Employment Period, the Executive shall be entitled to such fringe benefits and perquisites as are provided by the Company to its senior executives from time to time, in accordance with the policiesmost favorable plans, practices practices, programs and procedures policies of the Company, and shall receive such additional fringe benefits and perquisites as Company in effect for the Company may, in its discretion, from timeExecutive at any time during the 120-to-time provideday period immediately preceding the Change of Control Date.

During the Employment Period, the Executive shall be entitled to such fringe benefits and perquisites as are provided by the Company to its senior executives from time to timebenefits, in accordance with the policies, practices and procedures most favorable policies of the CompanyCorporation and its affiliates in effect at any time during the 90-day period immediately preceding the Effective Date or, and shall receive such additional fringe benefits and perquisites if more favorable to the Executive, as the Company may, in its discretion, from time-to-effect at any time providethereafter with respect to other key executives.

Fringe Benefits. During the Employment Period, the Executive shall be entitled eligible to receive such fringe benefits and perquisites as are provided by the Company to its senior executives employees from time to time, in accordance with the policies, practices and procedures of the Company, and shall receive such additional fringe benefits and perquisites as the Company may, in its discretion, from time-to-time provideprovide to its senior executive officers.

Fringe Benefits. During the Employment PeriodTerm, the Executive shall be entitled eligible to receive such fringe benefits and perquisites as are provided by the Company Company, in its sole discretion, to its senior executives and/or employees from time to time, in accordance with the policies, practices practices, and procedures of the Company, and shall receive such additional fringe benefits and perquisites as the Company may, in its discretion, from time-to-time provide.

During the Employment Period, the Executive shall be entitled eligible to receive such fringe benefits and perquisites as are provided by the Company to its senior executives from time to time, in accordance with the policies, practices and procedures of the Company, and shall receive such additional fringe benefits and perquisites as the Company may, in its discretion, from time-to-time provide.

Fringe Benefits. During the Employment PeriodTerm, the Executive shall be entitled to such the perquisites and other fringe benefits and perquisites as that are provided made available by the Company Employer to its senior executives from time generally and to time, in accordance with the policies, practices such perquisites and procedures of the Company, and shall receive such additional fringe benefits that are made available by Employer to Executive in particular, subject to any applicable terms and perquisites as the Company may, in its discretion, from time-to-time provideconditions of any specific perquisite or other fringe benefit.

Fringe Benefits. During the Employment Period, the Executive shall be entitled to such fringe benefits and perquisites as are provided by the Company benefits, including but not limited to its senior executives from time to timethose described in Section 8(a)(5), in accordance with the policiesmost favorable plans, practices practices, programs, and procedures policies of the CompanyCompany and its Affiliated Companies in effect for the Executive at any time during the 90-day period immediately preceding the Effective Date or, and shall receive such additional fringe benefits and perquisites if more favorable to the Executive, as in effect generally at any time thereafter with respect to other peer executives of the Company may, in and its discretion, from time-to-time provideAffiliated Companies.

Fringe Benefits. During the Employment Period, the Executive shall be entitled to such fringe benefits and perquisites as are provided by the Company to its senior executives from time to time, in accordance with the policiesplans, practices practices, programs and procedures policies of the Company, Company and shall receive such additional fringe benefits and perquisites as its affiliated companies in effect for similarly situated senior executives of the Company may, in and its discretion, from time-to-time provideaffiliated companies.

Fringe Benefits. During the Employment Period, the Executive shall be entitled to such fringe benefits and perquisites as are provided by the Company to its senior executives from time to time, in accordance with the policiesmost favorable plans, practices practices, programs and procedures policies of the CompanyCompany and its affiliated companies in effect for the Executive at any time during the 90-day period immediately preceding the Effective Date, and shall receive such additional fringe benefits and perquisites or if more favorable to the Executive, as in effect generally at any time thereafter with respect to other peer executives of the Company may, in and its discretion, from time-to-time provideaffiliated companies.

Fringe Benefits. During the Employment Period, the Executive shall be entitled to such all fringe benefits and perquisites as that are provided by the Company to its senior executives from time to time, in accordance with the policies, practices and procedures time generally available to other senior executives of the Company. The Company will continue its current automobile expense program as in effect on the Agreement Date (or establish a comparable replacement program), and shall receive with such additional fringe benefits and perquisites increases as the Company may, are consistent with past practices to reflect changes in its discretion, from time-to-time provideexpenses.

Fringe Benefits. During the Employment Period, the Executive shall be entitled to such fringe benefits and perquisites, which shall be no less favorable than the fringe benefits and perquisites as are provided by the Company generally to its other senior executives from time to time, in accordance with the policies, practices and procedures of the Company, and shall receive such additional fringe benefits and perquisites as the Company may, in its discretion, from time-to-time provide.

Fringe Benefits. During the Employment Period, the Executive shall be entitled to such fringe benefits and perquisites as are provided by the Company to its senior executives from time to timebenefits, in accordance with the policiesmost favorable plans, practices practices, programs and procedures policies of the CompanyCompany and its affiliated companies in effect for the Executive at any time during the 120-day period immediately preceding the Effective Date or, and shall receive such additional fringe benefits and perquisites if more favorable to the Executive, as in effect generally at any time thereafter with respect to other peer executives of the Company may, in and its discretion, from time-to-time provideaffiliated companies.

Fringe Benefits. During the Employment Period, the Executive shall be entitled to such fringe benefits and perquisites as are provided by the Company to its senior executives from time to time, in accordance with the policies, practices and procedures of the Company, and shall receive such additional fringe benefits and perquisites as the Company may, in its discretion, from time-to-time provide. The Company shall also reimburse Executive for (a) the costs of maintaining a cellular phone, and (b) the costs of maintaining an automobile in an amount up to $750 per month.

Fringe Benefits. During the Employment Period, the Executive shall be entitled to such fringe benefits and perquisites as are provided by the Company to its senior executives from time to time, in accordance with the policiesplans, practices practices, programs and procedures policies of the Company in effect for Peer Executives. Without limiting the foregoing, during the Employment Period, Executive shall be provided a car allowance or a Company-owned car of a model appropriate to his position, as determined by the Compensation Committee of the Board of Directors of the Company, and shall receive such additional fringe benefits and perquisites as the Company may, in its discretion, from time-to-time provide.

Fringe Benefits. During the Employment Period, the Executive shall be entitled to such all fringe benefits and perquisites as that are provided by the Company to its senior executives from time to time, in accordance with the policies, practices and procedures time available to other senior executives of the Company, and shall receive such additional fringe benefits and perquisites as the Company may, in its discretion, from time-to-time provide.

Fringe Benefits. During the Employment Period, the Executive shall be entitled to such fringe benefits and perquisites as are provided by the Company to its senior executives from time to time, in accordance with the most favorable plans, policies, programs and practices and procedures of the CompanyCompany and its affiliated companies as in effect for Executive at any time during the 120-day period immediately preceding the Effective Date or, and shall receive such additional fringe benefits and perquisites if more favorable to Executive, as in effect generally at any time thereafter with respect to other peer executives of the Company may, in and its discretion, from time-to-time provideaffiliated companies.

Fringe Benefits. During the Employment Period, the Executive shall be entitled to such fringe benefits in accordance with the plans, practices, programs and perquisites as are provided by policies of the Company to its in effect for other senior executives of the Company from time to time. The Company reserves the right to amend or cancel any such plan, in accordance with the policiespractice, practices and procedures of the Company, and shall receive such additional fringe benefits and perquisites as the Company may, policy or program in its sole discretion, from time-to-time providesubject to the terms of such plan, practice, policy or program and applicable law.

Fringe Benefits. During the Employment PeriodPeriod prior to the Date of Termination, the Executive shall be entitled to fringe benefits and perquisite plans or programs of the Company and its affiliated companies generally available to executives who are peers of the Executive; provided that the Company reserves the right to modify, change or terminate such fringe benefits and perquisites as are provided by the Company to its senior executives perquisite plans or programs from time to time, in accordance with the policies, practices and procedures of the Company, and shall receive such additional fringe benefits and perquisites as the Company may, in its sole discretion, from time-to-time provide.

Fringe Benefits. During the Employment Period, the Executive shall be entitled to such fringe benefits and perquisites as are provided by the Company to its senior executives from time to time, in accordance with the policiesplans, practices practices, programs and procedures policies of the Company in effect for other senior executives of the Company. The Company reserves the right to amend or cancel any such plan, and shall receive such additional fringe benefits and perquisites as the Company maypractice, policy or program in its sole discretion, from time-to-time providesubject to the terms of such plan, practice, policy or program and applicable law; provided, that no such amendment or cancellation shall be more adverse to the Executive than to other senior executives of the Company.

Fringe Benefits. During the Employment Period, the Executive shall be entitled to such fringe benefits and perquisites as are provided by the Company benefits, including but not limited to its senior executives from time to timethose described in Section 7(a)(iii), in accordance with the policiesmost favorable plans, practices practices, programs, and procedures policies of the CompanyCompany and its affiliated companies in effect for the Executive at any time during the 90-day period immediately preceding the Effective Date or, and shall receive such additional fringe benefits and perquisites if more favorable to the Executive, as in effect generally at any time thereafter with respect to other peer executives of the Company may, in and its discretion, from time-to-time provideaffiliated companies.

Fringe Benefits. During the Employment Period, the Executive shall be entitled to such all fringe benefits and perquisites as are provided by other perquisites, including, but not limited to, cellular telephone and related expenses and a lap top computer, commensurate with those available to other peer executives of the Company to its senior executives in accordance with the plans, practices, programs, and policies of the Company as may be in effect from time to time, in accordance with the policies, practices and procedures of the Company, and shall receive such additional fringe benefits and perquisites as the Company may, in its discretion, from time-to-time provide.

Fringe Benefits. During the Employment Period, the Executive shall be entitled to such fringe benefits and perquisites as are provided by the Company to its senior executives from time to time, in accordance with the policiesplans, practices practices, programs and procedures policies of the Company in effect for other senior executives of the Company. The Company reserves the right to amend or cancel any such plan, and shall receive such additional fringe benefits and perquisites as the Company maypractice, policy or program in its sole discretion, from time-to-time providesubject to the terms of such plan, practice, policy or program and applicable law.

During the Employment Period, the Executive shall be entitled to such fringe benefits and, if applicable, use of automobile and perquisites as are provided by the Company to its senior executives from time to timepayment of related expenses, in accordance with the policiesmost favorable plans, practices practices, programs and procedures policies of the CompanyCompany and its affiliated companies in effect for the Executive at any time during the 120‑day period immediately preceding the Effective Date or, and shall receive such additional fringe benefits and perquisites if more favorable to the Executive, as in effect generally at any time thereafter with respect to other peer executives of the Company may, in and its discretion, from time-to-time provideaffiliated companies.

Fringe Benefits. During the Employment Period, the --------------- Executive shall be entitled to such fringe benefits and perquisites as are provided by the Company to its senior executives from time to time, in accordance with the policiesmost favorable plans, practices practices, programs and procedures policies of the CompanyCompany and its affiliated companies in effect for the Executive at any time during the 90-day period immediately preceding the Effective Date or, and shall receive such additional fringe benefits and perquisites if more favorable to the Executive, as in effect generally at any time thereafter with respect to other peer executives of the Company may, in and its discretion, from time-to-time provideaffiliated companies.

Fringe Benefits. During the Employment Period, the Executive shall be entitled to such fringe benefits and perquisites as are provided by the Company to its senior executives from time to time, in accordance with the policiesmost favorable plans, practices practices, programs and procedures policies of the CompanyCompany and its Affiliated Companies in effect for the Executive at any time during the 90-day period immediately preceding the Effective Date or, and shall receive such additional fringe benefits and perquisites if more favorable to the Executive, as in effect generally at any time thereafter with respect to other peer executives of the Company may, in and its discretion, from time-to-time provideAffiliated Companies.

Fringe Benefits. During the Employment Period, the Executive shall be entitled to such fringe benefits and perquisites as are provided by the Company to its senior executives from time to time, in accordance with the policiesplans, practices practices, programs and procedures policies of the Company, Company and shall receive such additional fringe benefits and perquisites as its Affiliates in effect for similarly situated senior executives of the Company may, in and its discretion, from time-to-time provideAffiliates.

Fringe Benefits. During the Employment Period, the Executive shall be entitled to such fringe benefits and perquisites as are provided by the Company to its senior executives from time to time, in accordance with the policiesmost favorable plans and Policies of the Company in effect at any time during the 90-day period immediately preceding the Effective Date or, practices and procedures if more favorable to Executive, as in effect at any time thereafter with respect to peer executives of the Company, and shall receive such additional fringe benefits and perquisites as the Company may, in its discretion, from time-to-time provide.

Fringe Benefits. During the Employment Period, the Executive shall be entitled to such fringe benefits and perquisites as which are comparable in the aggregate to those provided by generally at any time after the Company Effective Date to its other senior executives from time to time, in accordance with the policies, practices and procedures of the Company; provided, and that such benefits shall receive such additional fringe benefits and perquisites as be at least comparable to those provided to the Company may, in its discretion, from time-to-time provideExecutive immediately before the Effective Date.

Fringe Benefits. During the Employment Period, the Executive shall be entitled to such fringe benefits no less favorable, in the aggregate, than the plans, practices, programs and perquisites as are provided by policies of the Company and its affiliated companies in effect for the Executive at any time during the 90-day period immediately preceding the Effective Date, or if more favorable to its senior the Executive, as in effect generally at any time thereafter with respect to other peer executives from time to time, in accordance with the policies, practices and procedures of the Company, Company and shall receive such additional fringe benefits and perquisites as the Company may, in its discretion, from time-to-time provideaffiliated companies.

Fringe Benefits. During the Employment Period, the Executive shall be entitled to such fringe benefits and perquisites as are provided by the Company to its senior executives from time to time, in accordance with the most favorable policies, practices and procedures of the Company in effect for the Executive immediately before the date of this Agreement (including, without limitation, automobiles) or, if more favorable to the Executive, those provided generally at any time thereafter to other peer executives of the Company, and shall receive such additional fringe benefits and perquisites as the Company may, in its discretion, from time-to-time provide.

Fringe Benefits. During the Employment Period, the Executive shall be entitled to such fringe benefits and perquisites applicable to other comparable senior executive of the Company, in accordance with their terms as are provided by the Company to its senior executives in effect from time to time, in accordance with the policies, practices and procedures of the Company, and shall receive such additional fringe benefits and perquisites as the Company may, in its discretion, from time-to-time provide.

Fringe Benefits. During the Employment Period, the Executive shall be entitled to such fringe benefits and perquisites as are provided by the Company to its senior executives from time to time, in accordance with the policiesmost favorable plans, practices practices, programs, and procedures policies of the CompanyCompany and its Affiliated Companies in effect for the Executive at any time during the 90-day period immediately preceding the Effective Date or, and shall receive such additional fringe benefits and perquisites if more favorable to the Executive, as in effect generally at any time thereafter with respect to other peer executives of the Company may, in and its discretion, from time-to-time provideAffiliated Companies.

Fringe Benefits. During the Employment Period, the Executive shall be entitled to such fringe benefits and, if applicable, use of an automobile and perquisites as are provided by the Company to its senior executives from time to timepayment of related expenses, in accordance with the policiesmost favorable plans, practices practices, programs and procedures policies of the CompanyCompany and its Affiliates in effect for Executive at any time during the 120‑day period immediately preceding the Effective Date or, and shall receive such additional fringe benefits and perquisites if more favorable to Executive, as in effect generally at any time thereafter with respect to other peer executives of the Company may, in and its discretion, from time-to-time provideAffiliates.

Fringe Benefits. During the Employment Period, the Executive shall be entitled to such participate in all fringe benefits and perquisites as are provided by the Company available to its senior executives from time to time, in accordance with the policies, practices and procedures of the Company, including provision of an automobile, on terms and shall receive such additional fringe benefits conditions that are commensurate with his positions and perquisites as responsibilities at the Company may, in its discretion, from time-to-time provideCompany.

Fringe Benefits. During the Employment Period, the Executive shall be entitled to such fringe benefits and perquisites as are provided by the Company benefits, including but not limited to its senior executives from time to timethose described in Section 8(a)(5), in accordance with the policiesmost favorable plans, practices practices, programs, and procedures policies of the CompanyCompany and its affiliated companies in effect for the Executive at any time during the 90-day period immediately preceding the Effective Date or, and shall receive such additional fringe benefits and perquisites if more favorable to the Executive, as in effect generally at any time thereafter with respect to other peer executives of the Company may, in and its discretion, from time-to-time provideaffiliated companies.

Fringe Benefits. Fringe Benefits. Fringe Benefits. During the Employment Period, the Executive shall be entitled to such fringe benefits and perquisites as are provided by the Company to its senior executives from time to timebenefits, in accordance with the policies, practices and procedures most favorable policies of the CompanyCorporation in effect at any time during the 90-day period immediately preceding the Effective date or, and shall receive such additional fringe benefits and perquisites if more favorable to the Executive, as the Company may, in its discretion, from time-to-effect at any time providethereafter with respect to other key executives.

Fringe Benefits. During the Employment Period, in addition to the other benefits and entitlements as provided herein, the Executive shall be entitled to such fringe benefits and perquisites on the same basis as are those provided by generally to the Company to its senior executives from time to time, in accordance with the policies, practices and procedures highest level of the Company, and shall receive such additional fringe benefits and perquisites as the Company may, in its discretion, from time’s United States-to-time providebased executive employees.

Fringe Benefits. During the Employment Period, the Executive shall be entitled to such fringe benefits and perquisites as are provided by the Company to its senior executives from time to timebenefits, in accordance with the policiesplans, practices practices, programs and procedures of policies as the same may be established from time to time by the Company, and shall receive such additional fringe benefits and perquisites as the Company may, in its discretion, from time-to-time provide.

Fringe Benefits. During the Employment Period, Period and so long as the Executive is employed by the Company, he shall be entitled to such receive fringe benefits and perquisites as are provided by the Company to its senior executives from time to time, in accordance with the policiesplans, practices practices, programs and procedures policies of the Company from time to time in effect, commensurate with his position and at least the same as those received by any executive officer of the Company, and shall receive such additional fringe benefits and perquisites as the Company may, in its discretion, from time-to-time provide.

Fringe Benefits. During the Employment Period, the Executive shall be entitled to such fringe benefits and perquisites as are provided by the Company to its senior executives from time to time, in accordance with the policiesplans, practices practices, programs and procedures policies of the Company, and shall receive such additional fringe benefits and perquisites Company in effect for the Executive as of the Company may, in its discretion, from time-to-time providedate hereof.

Fringe Benefits. During the Employment Period, the Executive shall be entitled to such fringe benefits and perquisites as are provided by the Company to its senior executives from time to timebenefits, in accordance with the policiesplans, practices practices, programs and procedures policies of the CompanyCompany and its subsidiaries that, and shall receive such additional fringe benefits and perquisites in the aggregate, are substantially the same as those in effect at any time during the 180-day period immediately preceding the Effective Time or, if more favorable to the Executive, as in effect at any time thereafter with respect to other executives of the Company may, in and its discretion, from time-to-time providesubsidiaries.

Fringe Benefits. During the Employment Period, the Executive shall be entitled eligible to receive such fringe benefits and perquisites as are provided by the Company to its senior executives executive employees from time to time, in accordance with the policies, practices and procedures of the Company, and shall receive such additional fringe benefits and perquisites as the Company may, in its discretion, from time-to-time provide.

During the Employment Period, the Executive shall be entitled to such fringe benefits, including, without limitation, the fringe benefits and perquisites as are provided by the Company to its senior executives from time to time, identified on Exhibit "A" attached hereto in accordance with the policiesmost favorable plans, practices practices, programs and procedures policies of the CompanyCompany and its affiliated companies in effect for the Executive at any time during the 120-day period immediately preceding the Effective Date or, and shall receive such additional fringe benefits and perquisites if more favorable to the Executive, as in effect generally at any time thereafter with respect to other peer executives of the Company may, in and its discretion, from time-to-time provideaffiliated companies.

Fringe Benefits. During the Employment Period, the Executive shall be entitled to such all fringe benefits and perquisites as that are provided by the Company to its senior executives from time to time, in accordance with the policies, practices and procedures time generally available to other senior executives of the Company, and shall receive such additional fringe benefits and perquisites as the Company may, in its discretion, from time-to-time provide.

The Company shall also reimburse Executive for (a) the costs of maintaining a cellular phone, and (b) the costs of maintaining an automobile in an amount up to $1,000 per month.

During the Employment Period, the Executive shall be entitled to such fringe benefits and perquisites as are provided by the Company to its senior executives from time to time, in accordance with the policies, practices and procedures of the Company, and shall receive such additional fringe benefits and perquisites as the Company may, in its discretion, from time-to-time provide.

During the Employment Period, the Executive shall be entitled to furnished with such fringe benefits and perquisites as are provided by customary for the President and Chief Executive Officer of a corporation of the size and nature of the Company to its senior executives from time to time, in accordance with the policies, practices and procedures of the Company, and shall receive such additional participate in all fringe benefits and perquisites as available to any other senior executive of the Company mayand, in its discretionduring the Initial Period, from time-to-time provideto the Executive Chairman.

Fringe Benefits.
