Common use of Fringe Benefits Clause in Contracts

Fringe Benefits. During the Employment Period, the Executive shall be entitled to fringe benefits (including, without limitation, financial planning services, payment of club dues, a car allowance or use of an automobile and payment of related expenses, as appropriate) in accordance with the most favorable plans, practices, programs and policies of the Company in effect on the date hereof.

Fringe Benefits. During the Employment Period, the Executive shall be entitled to fringe benefits (benefits, including, without limitation, tax and financial planning services, payment of club dues, a car allowance or and, if applicable, use of an automobile and payment of related expenses, as appropriate) in accordance with the most favorable plans, practices, programs and policies of the Company and its affiliated companies in effect on for the date hereofExecutive at any time during the 120-day period immediately preceding the Effective Date or, if more favorable to the Executive, as in effect generally at any time thereafter with respect to other peer executives of the Company and its affiliated companies.

Fringe Benefits. During the Employment Period, the Executive shall be entitled to fringe benefits (benefits, including, without limitation, tax and financial planning services, payment of club dues, a car allowance or and, if applicable, use of an automobile and payment of related expenses, as appropriate) in accordance with the most favorable plans, practices, programs and policies of the Company and its affiliated companies in effect on for Executive at any time during the date hereof120-day period immediately preceding the Effective Date or, if more favorable to Executive, as in effect generally at any time thereafter with respect to other peer executives of the Company and its affiliated companies.

Fringe Benefits. During the Employment PeriodTerm, the Executive shall be entitled to fringe benefits (benefits, including, without limitation, tax and financial planning services, payment of club duesdues and, a car allowance or if applicable, use of an automobile and payment of related expenses, as appropriate) in accordance with the most favorable planspolicies, practices, programs practices and policies procedures of the Company and its affiliated companies as in effect on for the date hereofExecutive at any time during the 120-day period immediately preceding the Effective Date or, if more favorable to the Executive, as in effect generally at any time after the Effective Date with respect to the Executive’s peer executives of the Company and its affiliated companies.

Fringe Benefits. During the Employment Period, the Executive shall be entitled to fringe benefits (benefits, including, without limitation, tax and financial planning services, executive physicals, and, if applicable, payment of club dues, a car allowance or use of an automobile and payment of related expenses, as appropriate) in accordance with the most favorable plans, practices, programs and policies of the Company and the Affiliated Companies in effect on for the date hereofExecutive at any time during the 120-day period immediately preceding the Effective Date or, if more favorable to the Executive, as in effect generally at any time thereafter with respect to other peer executives of the Company and the Affiliated Companies.

Fringe Benefits. During the Employment Period, the Executive shall be entitled to fringe benefits (benefits, including, without limitation, tax and financial planning services, payment of club dues, a car allowance or and, if applicable, use of an automobile and payment of related expenses, as appropriate) in accordance with the most favorable plans, practices, programs and policies of the Company and the Affiliated Companies in effect on for the date hereofExecutive at any time during the 120-day period immediately preceding the Effective Date.

Fringe Benefits. During the Employment Period, the Executive shall be entitled to fringe benefits (benefits, including, without limitation, tax and financial planning services, payment of club dues, a car allowance or and, if applicable, use of an automobile and payment of related expenses, as appropriate) in accordance with the most favorable plans, practices, programs and policies of the Company and its affiliated companies in effect on for the date hereofExecutive at any time during the 90-day period immediately preceding the Effective Date or, if more favorable to the Executive, as in effect generally at any time thereafter with respect to other peer executives of the Company and its affiliated companies.

Fringe Benefits. During the Employment Period, the Executive shall be entitled to fringe benefits (includingbenefits, without limitationincluding but not limited to pass privileges for non-revenue transportation, financial planning services, payment of club dues, a car allowance or use of an automobile and payment of related expenses, as appropriate) in accordance with the most favorable plans, practices, programs and policies of the Company in effect and its subsidiaries applicable at any time on or after the date hereofEffective Date to other key employees of the Company and its subsidiaries.

Fringe Benefits. During the Employment Period, the Executive shall be entitled to fringe benefits (benefits, including, without limitation, financial planning services, payment of club dues, a car allowance or use of an automobile and payment of related expenses, as appropriate) in accordance with the most favorable plans, practices, programs and policies of the Company Energy Group or any of its affiliated companies in effect on for the date hereofExecutive at any time during the 120-day period immediately preceding the Effective Date or, if more favorable to the Executive, as in effect generally at any time thereafter with respect to other peer executives of Energy Group or any of its affiliated companies.

Fringe Benefits. During the Employment Period, the Executive shall be entitled to fringe benefits (benefits, including, without limitation, tax and financial planning services, payment of club dues, a car allowance or and, if applicable, use of an automobile and payment of related expenses, as appropriate) in accordance with the most favorable plans, practices, programs and policies of the Company and the Affiliated Entities in effect on for the date hereofExecutive at any time during the 120-day period immediately preceding the Effective Date or, if more favorable to the Executive, as in effect generally at any time thereafter with respect to other peer executives of the Company and the Affiliated Entities.

During the Employment Period, the Executive shall be entitled to fringe benefits (benefits, including, without limitation, tax and financial planning services, payment of club dues, a car allowance or and, if applicable, use of an automobile and payment of related expenses, as appropriate) in accordance with the most favorable plans, practices, programs and policies of the Company and its affiliated companies in effect on for the date hereofExecutive at any time during the 120-day period immediately preceding the Effective Date or, if more favorable to the Executive, as in effect generally at any time thereafter with respect to other peer executives of the Company.

During the Employment Period, the Executive shall be entitled to fringe benefits (benefits, including, without limitation, tax and financial planning services, payment of club dues, a car allowance or and, if applicable, use of an automobile and payment of related expenses, as appropriate) in accordance with the most favorable plans, practices, programs and policies of the Company and the Affiliated Companies in effect on for the date hereofExecutive at any time during the 6-month period immediately preceding the Effective Date or, if more favorable to the Executive, as in effect generally at any time thereafter with respect to other peer executives of the Company and the Affiliated Companies.

Fringe Benefits. During the Employment Period, the Executive shall be entitled to fringe benefits (benefits, including, without limitation, tax and financial planning services, payment of club dues, a car allowance or and, if applicable, use of an automobile and payment of related expenses, as appropriate) in accordance with the most favorable plans, practices, programs and policies of the Company and the Affiliated Companies in effect on for the date hereofExecutive at any time during the 180-day period immediately preceding the Effective Date or, if more favorable to the Executive, as in effect generally at any time thereafter with respect to other peer executives of the Company and the Affiliated Companies.

Fringe Benefits. During the Employment Period, the Executive shall be entitled to fringe benefits (benefits, including, without limitation, if applicable, tax and financial planning services, payment of club dues, a car allowance or use of an automobile and payment of related expenses, as appropriate) in accordance with the most favorable plans, practices, programs programs, and policies of the Company and its affiliated companies in effect on for the date hereofExecutive at any time during the 120-day period immediately preceding the Effective Date or, if more favorable to the Executive, as in effect generally at any time thereafter with respect to other peer executives of the Company and its affiliated companies.

During the Employment Period, the Executive shall be entitled to fringe benefits (benefits, including, without limitation, tax and financial planning services, payment of club dues, a car allowance or and, if applicable, use of an automobile and payment of related expenses, as appropriate) in accordance with the most favorable plans, practices, programs and policies of the Company and its Affiliates in effect on for the date hereofExecutive at any time during the 120-day period immediately preceding the Effective Date or, if more favorable to the Executive, as in effect generally at any time thereafter with respect to other peer executives of the Company and its Affiliates.

Fringe Benefits. During the Employment Period, the Executive shall be entitled to fringe benefits (includingand, without limitationif applicable, financial planning services, payment of club dues, a car allowance or use of an automobile and payment of related expenses, as appropriate) in accordance with the most favorable plans, practices, programs and policies of the Company and its affiliated companies in effect on for the date hereofExecutive at any time during the 120-day period immediately preceding the Effective Date or, if more favorable to the Executive, as in effect generally at any time thereafter with respect to other peer executives of the Company and its affiliated companies.

Fringe Benefits. During the Employment Period, the Executive shall be entitled to fringe benefits (includingbenefits, without limitation, including tax and financial planning services, payment of club dues, a car allowance or and, if applicable, use of an automobile and payment of related expenses, as appropriate) in accordance with the most favorable plans, practices, programs and policies of the Company CapStar and its Affiliates in effect on for Executive at any time during the date hereof120‑day period immediately preceding the CIC Effective Date or, if more favorable to Executive, as in effect generally at any time thereafter with respect to other peer executives of CapStar and its Affiliates.

Fringe Benefits. During the Employment Period, the Executive shall be entitled to fringe benefits (benefits, including, without limitation, tax and financial planning services, payment of club dues, a car allowance or and, if applicable, use of an automobile and payment of related expenses, as appropriate) in accordance with effect for Peer Executives; provided, that such fringe benefits shall not be less favorable, in the most favorable plansaggregate, practices, programs and policies of to the Executive than those provided by the Company in effect on and the date hereofAffiliated Companies to the Executive at the Relevant Time.

Fringe Benefits. During the Employment Period, the Executive shall be entitled to fringe benefits (benefits, including, without limitation, tax and financial planning services, payment of club dues, a car allowance or expenses of attendance by the Executive and his spouse at industry conferences, use of an automobile automobile, and payment of related expenses, as appropriate) in accordance with the most favorable plans, practices, programs and policies of the Company and its subsidiaries in effect on for the date hereofExecutive at any time during the Pre-Filing Period or, if more favorable to the Executive, as in effect generally at any time after the Filing Date with respect to other peer executives of the Company and its subsidiaries.

Fringe Benefits. During the Employment Period, the Executive shall be entitled to fringe benefits (benefits, including, without limitation, tax and financial planning services, payment of club duesand, a car allowance or if applicable, use of an automobile and payment of related expenses, as appropriate) in accordance with the most favorable plans, practices, programs and policies of the Company and its affiliated companies in effect on for the date hereofExecutive at any time during the 120-day period immediately preceding the Effective Date or, if more favorable to the Executive, as in effect generally at any time thereafter with respect to other peer executives of the Company and its affiliated companies.

During the Employment Period, the Executive shall be entitled to fringe benefits (benefits, including, without limitation, tax and financial planning services, payment of club dues, a car allowance or use of an automobile and payment of related expenses, as appropriate) in accordance with the most favorable plans, practices, programs and policies of the Company and the Affiliated Companies in effect on for the date hereofExecutive at any time during the 120-day period immediately preceding the Effective Date or, if more favorable to the Executive, as in effect generally at any time thereafter with respect to other peer executives of the Company and the Affiliated Companies.

During the Employment Period, the Executive shall be entitled to fringe benefits (including, without limitation, financial planning services, payment of club dues, a car allowance or use of an automobile and payment of related expenses, as appropriate) in accordance with the most favorable plans, practices, programs and policies of the Company in effect on the date hereofCompany.

Fringe Benefits. During the Employment PeriodTerm, the Executive shall be entitled to fringe benefits (includingbenefits, without limitation, financial planning services, payment of club dues, a car allowance or including use of an automobile and payment of related expenses or payment of an allowance for automobile related expenses, as appropriate) in accordance with the most favorable plans, practices, programs and policies of the Company in effect on at any time during the date hereofninety (90)-day period immediately preceding the Effective Date or, if more favorable to Executive, as in effect at any time thereafter with respect to other key employees of Company or Parent.

Fringe Benefits. During the Employment Period, the Executive shall be entitled to fringe benefits (benefits, including, without limitation, tax and financial planning services, payment of club dues, a car allowance or and, if applicable, use of an automobile and payment of related expenses, as appropriate) in accordance with the most favorable plans, practices, programs and policies of the Company and its Affiliated Companies in effect on for the date hereofExecutive at any time during the 120-day period immediately preceding the Effective Date or, if more favorable to the Executive, as in effect generally at any time thereafter with respect to other peer executives of the Company and its Affiliated Companies.

Fringe Benefits. During the Employment Period, the Executive shall be entitled to fringe benefits (benefits, including, without limitation, tax and financial planning services, payment of club dues, a car allowance or use of an automobile and payment of related expenses, as appropriate) in accordance with the most favorable plans, practices, programs and policies of the Company and its affiliated companies in effect on for the date hereofExecutive at any time during the 120-day period immediately preceding the Effective Date or, if more favorable to the Executive, as in effect generally at any time thereafter with respect to other peer executives of the Company and its affiliated companies.

Fringe Benefits. During the Employment Period, the Executive shall be entitled to fringe benefits ("Fringe Benefits") including, without limitation, tax and financial planning services, payment of club duesdues and, a car allowance or if applicable, use of an automobile and payment of related expenses, (or, in lieu thereof, cash payments paid as appropriatea perquisite allowance) in accordance with no less favorable than those provided to the most favorable plans, practices, programs and policies Executive as of the Company in effect on the date hereof., and which are set forth on Schedule A.

During the Employment Period, the Executive shall be entitled to fringe benefits (benefits, including, without limitation, financial tax planning services, payment of club dues, a car allowance or and, if applicable, use of an automobile and payment of related expenses, as appropriate) in accordance with the most favorable plans, practices, programs and policies of the Company and the Affiliated Companies in effect on for the date hereofExecutive at any time during the 120-day period immediately preceding the Effective Date or, if more favorable to the Executive, as in effect generally at any time thereafter with respect to other peer executives of the Company and the Affiliated Companies.

Fringe Benefits. During the Employment Period, the Executive shall be entitled to fringe benefits (benefits, including, without limitation, tax and financial planning services, payment of club dues, a car allowance or use of and an automobile of his choice and payment of related expenses, as appropriate) in accordance with the most favorable plans, practices, programs and policies of the Company in effect on the date hereof.

During the Employment Period, the Executive shall be entitled to fringe benefits (benefits, including, without limitation, financial planning servicesif applicable, payment of club dues, a car allowance or use of an automobile and payment of related expenses, as appropriate) in accordance with the most favorable plans, practices, programs and policies of the Company and its affiliated companies in effect on for the date hereofExecutive at any time during the 120-day period immediately preceding the Effective Date or, if more favorable to the Executive, as in effect generally at any time thereafter with respect to other peer executives of the Company and its affiliated companies.

Fringe Benefits. During the Employment Period, the Executive shall be entitled to fringe benefits (benefits, including, without limitation, financial planning servicesif applicable, payment of club dues, a car allowance or use of an automobile and payment of related expenses, as appropriate) in accordance with the most favorable plans, practices, programs and policies of the Company and the Affiliated Companies in effect on for the date hereofExecutive at any time during the 120-day period immediately preceding the Effective Date or, if more favorable to the Executive, as in effect generally at any time thereafter with respect to other peer executives of the Company and the Affiliated Companies.

Fringe Benefits. During the Employment Period, the Executive shall be entitled to (A) at Executive’s option, a monthly car allowance or use of an automobile and (B) such other fringe benefits (including, without limitation, financial planning services, payment of club dues, a car allowance or use financial planning services, cellular telephone, mobile email, annual physical examinations, payment of an automobile professional fees and professional taxes and payment of related expenses, as appropriate) in accordance with the most favorable plans, practices, programs and policies of the Company and its affiliated companies in effect for the Executive on the date hereof.

Fringe Benefits. During the Employment Period, the Executive shall will be entitled to fringe benefits (includingbenefits, without limitationif any, financial planning services, payment of club dues, a car allowance or use of an automobile and payment of related expenses, as appropriate) in accordance with the most favorable plans, practices, programs and policies of the Company in effect on the date hereoffor Peer Executives.

Fringe Benefits. During the Employment Period, the Executive shall be entitled to fringe benefits (including, without limitation, financial planning servicessecretarial and administrative support, payment of club duesoffice space, a car allowance or use of an automobile company aircraft, paid time off, holiday, sick-leave and payment of related expensesother similar benefits, as appropriate) in accordance consistent with the most favorable plans, practices, programs and policies of the Company and the Affiliated Companies in effect on for the date hereofExecutive immediately prior to the Effective Date.

Fringe Benefits. During the Employment Period, the Executive shall will be entitled to fringe benefits (including, without limitation, financial planning services, payment of club dues, a car allowance or use of an automobile and payment of related expenses, as appropriate) in accordance with the most favorable plans, practices, programs and policies of the Company in effect on the date hereofCompany.

During the an Employment Period, the Executive shall be entitled to fringe benefits (benefits, including, without limitation, tax and financial planning services, payment of club dues, a car allowance or and, if applicable, use of an automobile and payment of related expenses, as appropriate) in accordance with the most favorable plans, practices, programs and policies of the Company and its affiliated companies in effect on for the date hereofExecutive at any time during the 120-day period immediately preceding the Effective Date or, if more favorable to the Executive, as in effect generally at any time thereafter with respect to other peer executives of the Company and its affiliated companies.

Fringe Benefits. During the Employment Period, the Executive shall be entitled to fringe benefits (including, without limitation, financial planning services, payment of club dues, a car allowance or use of an automobile and payment of related expenses, as appropriate) in accordance with the most favorable plans, practices, programs and policies of the Company in effect on the date hereofapplicable to Peer Executives, subject to eligibility requirements and terms and conditions of any such plans, practices, programs and policies.

Fringe Benefits. During the Employment Period, the Executive shall be entitled to fringe benefits (benefits, including, without limitation, financial planning services, payment of club dues, a car allowance or to the extent applicable to peer executives of the Company. During the Employment Period, the Executive shall be entitled to the use of an automobile and payment of related expenses, as appropriate) pursuant to the terms of DGC's policy until the first anniversary of the Effective Date, and thereafter, in accordance with the most favorable plans, practices, programs and policies terms of the Company in effect on Company's policy as it applies to peer executives of the date hereofCompany.

Fringe Benefits. During the Employment Period, the Executive shall be entitled to fringe benefits (including, without limitation, financial planning services, payment of club dues, a car allowance or use of an automobile and payment of related expenses, as appropriate) in accordance with the most favorable plans, practices, programs and policies of the Company in effect available to other Peer Executives. Without limiting the foregoing, Executive shall be provided with an automobile allowance at least comparable to the automobile allowance provided to Executive by HomeBanc Mortgage Corporation on the date hereof.Effective Date;

Fringe Benefits. During the Employment Period, the Executive shall be entitled to fringe benefits (benefits, including, without limitation, tax and financial planning services, payment of club dues, and a monthly car allowance or use of an automobile $1,000, net to the Executive after giving effect to (x) all income taxes payable by Executive that are attributable to such allowance, and payment (y) any benefits that result from the deductibility by the Executive of related expenses, as appropriate) in accordance with the most favorable plans, practices, programs and policies of the Company in effect on the date hereofany such taxes.

Fringe Benefits. During the Employment Period, the Executive shall be entitled to fringe benefits (including, without limitation, financial planning services, payment of club dues, a car allowance or use of an automobile and payment of related expenses, as appropriate) in accordance with the most favorable plans, practices, programs and policies of the Company provided to the class of employees that includes Executive, consistent with the terms of the applicable plan, practice, program or policy. Executive shall be entitled to take paid time off as specified in effect on the date hereofCompany’s paid time off policy.

Fringe Benefits. During the Employment Agreement Period, the Executive shall may be entitled to eligible for certain fringe benefits (including, without limitatione.g., financial planning services, payment of club dues, a car allowance or use of an automobile and payment of related expenses, as appropriate) in accordance with the most favorable plans, practices, programs and policies of the Company and its affiliates in effect on from time to time. Any fringe benefits provided to the date hereofExecutive shall cease as of the Date of Termination.

Fringe Benefits. During the Employment PeriodTerm, the Executive shall be entitled to the fringe benefits (benefits, if applicable, including, without limitation, tax and financial planning services, payment of club dues, a car allowance or and use of an automobile and payment of related expenses, as appropriate) in accordance with the most favorable planspolicies, practices, programs practices and policies procedures of the Company and its affiliated companies as in effect on the date hereoffrom time to time for senior executives.

Fringe Benefits. During the Employment Period, the Executive shall be entitled to fringe benefits (including, without limitation, financial planning services, payment of club dues, a car allowance or use of an automobile services and payment of related expenses, as appropriate) in accordance with the most favorable plans, practices, programs and policies of the Company in effect on the date hereof.

During the Employment Period, the Executive shall be entitled to fringe benefits (includingbenefits, without limitation, such as tax and financial planning services, payment of lunch and country club dues, a car allowance or use of an automobile and payment of related expenses, as appropriate) in accordance with the most favorable plansan annual physical, practiceshome security system, programs and policies of the Company in effect on the date hereofmobile and cellular phones.

Fringe Benefits. During the Employment Period, the Executive shall be entitled to (A) a monthly car allowance and (B) such other fringe benefits (including, without limitation, financial planning services, payment of club dues, a car allowance or use financial planning services, cellular telephone, mobile email, annual physical examinations, payment of an automobile professional fees and professional taxes and payment of related expenses, as appropriate) in accordance with the most favorable plans, practices, programs and policies of the Company and its affiliated companies in effect for the Executive on the date hereof.

Fringe Benefits. During the Employment Period, the Executive shall be entitled to fringe benefits (benefits, including, without limitation, tax and financial planning services, payment of club dues, a car allowance or and, if applicable, use of an automobile and payment of related expenses, as appropriate) or payment of an automobile allowance in accordance with the most favorable plans, practices, programs and policies of the Company and its Affiliates in effect on for the date hereofExecutive at any time during the 120-day period immediately preceding the Effective Date or, if more favorable to the Executive, as in effect generally at any time thereafter with respect to other peer executives of the Company and its Affiliates.

Fringe Benefits. During the Employment Period, the Executive shall be entitled to retain any fringe benefits (including, without limitation, financial planning services, applicable to the Executive such as payment of club dues, a car allowance or and use of an automobile and payment of related expenses, as appropriate) in accordance with the most favorable plans, practices, programs and policies of the Company and its affiliated companies in effect on for the date hereofExecutive at any time during the 120‑day period immediately preceding the Effective Date.

During the Employment Period, the Executive shall be entitled to fringe benefits (benefits, including, without limitation, financial planning services, payment of club dues, a car allowance or and, if applicable, use of an automobile and payment of related expenses, as appropriate) in accordance with to the most favorable plans, practices, programs and policies extent applicable to other senior executives of the Company and its affiliated companies, but in effect on no event to a lesser extent than, during the date hereofSecond Employment Segment and the Third Employment Segment than the Company's Chief Executive Officer.
