Full Access; Investigation. The Company shall afford to the officers and authorized representatives of Purchaser access to the Company’s properties, books, and records pertaining to the Branch and the Real Property, and the officers of the Company will furnish Purchaser with such additional financial and operating data and other information as to the Branch and the Real Property as Purchaser shall from time to time reasonably request and as shall be available, including, without limitation, information required for inclusion in all governmental applications necessary to effect this sale. The Company will keep the Purchaser advised of all material developments relevant to the business of the Branch or to consummation of the transaction. Prior to the Effective Date, the Purchaser may make or cause to be made such investigation, if any, of the business and properties of the Company, including the Real Property, and of the Company’s financial and legal condition as the Purchaser reasonably deems necessary or advisable to familiarize itself and its advisors with such business, properties, and other matters, provided that such investigation shall be reasonably related to the transactions contemplated hereby and shall not interfere unnecessarily or unreasonably with normal operations. Nothing in this Section 5.1 shall require the Company to breach any obligation of confidentiality or require the Company to violate any applicable law. No such investigation shall affect or be deemed to modify the conditions to the Purchaser’s obligation to consummate the acquisition or the representations and warranties of any other party, and each such representation and warranty shall survive any such investigation. The Purchaser shall, and shall use its best efforts to cause its accountants, counsel, and other representatives to, maintain the confidentiality of all information furnished to it by the Company concerning the Company’s business, operations, and financial condition, and shall not use such information for any purpose except in furtherance of the transactions contemplated by this Agreement. If this Agreement is terminated prior to the Effective Date, the Purchaser shall promptly return all documents, work papers and other materials (including copies made thereof) received from the Company hereto unless the information contained in such documents and materials is available on a non-confidential basis from public or published information or trade sources.

  • Background Investigation The BOARD is prohibited from knowingly employing a person who has been convicted of committing or attempting to commit certain criminal offenses. If the required criminal background investigation is not completed at the time this Contract is signed, and the subsequent investigation report reveals that there has been a prohibited conviction, this Contract shall immediately become null and void.

  • Search, Enquiry, Investigation, Examination And Verification a. The Property is sold on an “as is where is basis” subject to all the necessary inspection, search (including but not limited to the status of title), enquiry (including but not limited to the terms of consent to transfer and/or assignment and outstanding charges), investigation, examination and verification of which the Purchaser is already advised to conduct prior to the auction and which the Purchaser warrants to the Assignee has been conducted by the Purchaser’s independent legal advisors at the time of execution of the Memorandum. b. The Purchaser shall be deemed to have read, understood and accepted these Conditions of Sale prior to the auction and to have knowledge of all matters which would have been disclosed thereby and the Purchaser expressly warrants to the Assignee that the Purchaser has sought independent legal advice on all matters pertaining to this sale and has been advised by his/her/its independent legal advisor of the effect of all the Conditions of Sale. e. Neither the Assignee nor the Auctioneer shall be required or bound to inform the Purchaser of any such matters whether known to them or not and the Purchaser shall raise no enquiry, requisition or objection thereon or thereto.

  • Investigation Period The first sentence of Section 4.1 of the Purchase Agreement is hereby deleted in its entirety and the following is hereby substituted in lieu thereof: “During the time period commencing upon the Effective Date of this Agreement, and terminating at 11:59 p.m. on October 18, 2012 (the “Investigation Period”), Buyer shall have the right to conduct and complete an investigation of all matters pertaining to the Property and Buyer’s purchase thereof including, without limitation, the matters described in this Section 4.1.”

  • Compliance Investigations Upon City’s request, Contractor agrees to provide to City, within sixty calendar days, a truthful and complete list of the names of all subcontractors, vendors, and suppliers that Contractor has used in the past five years on any of its contracts that were undertaken within San Diego County, including the total dollar amount paid by Contractor for each subcontract or supply contract. Contractor further agrees to fully cooperate in any investigation conducted by City pursuant to City's Nondiscrimination in Contracting Ordinance. Contractor understands and agrees that violation of this clause shall be considered a material breach of the Contract and may result in Contract termination, debarment, and other sanctions.
