FURTHER WARRANTY. The Parties agree to promptly execute the documents that are reasonably required for or are conducive to the implementation of the provisions and for the purposes of this Agreement, and to take further actions that are reasonably required for or are conducive to the implementation of the provisions and for the purposes of this Agreement.
FURTHER WARRANTY. The Contractor warrants that (a) all services shall be performed in conformity with the requirements of this Contract by qualified personnel in accordance with generally recognized standards; and (b) all goods or products furnished pursuant to this Contract shall be free from defects and shall conform to contract requirements. For any item that the Department determines does not conform with the warranty, the Department may arrange to have the item repaired or replaced, either by the Contractor or by a third party at the Department's option, at the Contractor's expense.
FURTHER WARRANTY. Both parties agree to promptly sign documents and take further actions reasonably necessary for implementing the provisions and purpose of the Agreement.
FURTHER WARRANTY. Each Party shall make and perform (or cause other party to make and perform) all further actions and matters and shall execute and deliver all other agreements, certificates, instruments and documents, which may be reasonably required by any other parties for the achievement of the provisions and the purpose hereof.
FURTHER WARRANTY. Upon the reasonable request of any Party, without further consideration, any other Party shall enter into and deliver necessary or required additional documents, and take necessary or required further legal actions, so that all transactions contemplated in this Agreement can be completed and take effect as prompt as possible.
FURTHER WARRANTY. 16.1 Each of the parties hereto shall sign (or be procured to sign) other documents required by laws, the performance or entry into force of this Agreement.
FURTHER WARRANTY. It is agreed by the Parties to promptly sign documents and take further actions reasonably required or in favor to carrying out the provisions and serving purposes hereof.
FURTHER WARRANTY. Neither of the Companies nor any of the Shareholders is aware of nor have they received notice of any material defect in any item produced, sold, leased, offered for testing or otherwise transferred by either Company to any other party. Each item produced, sold, leased, offered for testing or otherwise transferred by each Company to any third party was to the best knowledge of each of the Shareholders, and remains fit for the particular purpose for which such product was produced, sold, leased, offered for testing or otherwise transferred by such Company to such third party.
FURTHER WARRANTY. In order to complete the transfer of the Proposed Intellectual Property agreed in this Agreement, the Transferer shall take appropriate actions, execute and deliver instruments and documents, and shall complete any other reasonable and necessary actions required by the performance of this Agreement.
FURTHER WARRANTY. Every Party shall, and shall make all commercially reasonable efforts to procure any necessary third party to, at any time after the Other Parties bring forth the request, execute all documents and take all actions as reasonably required by all Other Parties for enabling all Other Parties to fully enjoy the interests hereunder.
