General Conditions of Supply. During the Term, SAFC shall Manufacture at the Facility and supply API to Company, and Company shall purchase API from SAFC in such quantities as set forth in Section 2.9 below, subject to the limitations and requirements set forth herein.

All Vector Product Manufactured hereunder shall be Manufactured solely by SAFC in suites exclusively dedicated to Company at the Manufacturing Facility. SAFC may not change the Manufacturing site, location or suites for Vector Product without the prior written approval of Company. SAFC shall perform all maintenance required on equipment within the Manufacturing Facility, including maintenance required according to the equipment manufacturer’s specifications and maintenance required to ensure continued validation of the equipment to cGMP requirements.

During the Term, SAFC and its Affiliates shall Manufacture and supply Excipient and/or Raw Materials to Company, and Company shall purchase Excipient and/or Raw Materials from SAFC and its Affiliates in such quantities as Company may order from time to time, subject to the limitations and requirements set forth herein. Raw materials will be supplied in accord with the conditions below for Excipient except as stated in Appendix 4.

Raw materials will be supplied in accord with the conditions below for Excipient except as stated in Appendix 4.
General Conditions of Supply. 3.2.1 The Principal shall sell the Products to the Distributor at a price, payment mechanism and conditions of delivery set out in a separate purchase order/contract by mutual agreement between the Parties from time to time.
3.2.2 Each order from the Distributor to the Principal may be subject to a separate supply contract. Unless otherwise agreed, such supply contract shall reflect the terms of this Agreement.
3.2.3 Upon receipt of each order from the Distributor, the Principal shall notify the Distributor of the estimated delivery date. The Principal will use its best endeavor to meet the delivery date. Any delay in supplying the ordered Products in accordance with the above mentioned date shall subject the Principal to a penalty as specified in the purchase order/contract.
3.2.4 The Distributor is free to promote and market the Products in any way that it may deem fit and at whatever prices. For removal of doubt, the Principal acknowledges and agrees that the Distributor is under no obligation to meet a specific marketing, promotional and/or resale plan, and that the Distributor is entitled to distribute and sell the Products within the Territory without any cap on the Distributor’s markup.
