GENERAL Governing law. Other than as set forth in Section 22.2.2, this Agreement and all matters arising in connection therewith, including validity and enforcement, contractual matters (except as otherwise set forth in Section 22.2.2) and any contractual payments owed hereunder, shall be governed by, interpreted and construed in accordance with the laws of the State of New York, without giving effect to its conflicts of laws principles that would result in the application of a different law. As to this Section 22.2.1:
GENERAL Governing law. 20.1 This SFOA and your Application are governed by the laws of the Commonwealth of Australia and the laws of the state of New South Wales and you and we submit to the exclusive jurisdiction of the courts of the Commonwealth, and its states and territories.

GENERAL Governing law. If any part of this Agreement shall be held unenforceable, the rest of this Agreement shall nevertheless remain in full force and effect. The failure of either party to exercise any of its rights under this Agreement for a breach thereof shall not be deemed to be a waiver of such rights or a waiver of any subsequent breach. Any waiver shall be in writing signed by the party granting the waiver. This Agreement may be supplemented, amended or revised only in a writing signed by both parties. Except in the event of an acquisition, sale or merger of all or substantially all of a party’s business assets, neither party may assign or otherwise transfer this Agreement without the prior, written consent of the other party, which consent shall not be unreasonably withheld, delayed or conditioned. This Agreement (including any Exhibits hereto) sets forth the entire agreement between the parties with respect to the subject matter hereof, and supersedes all other agreements, representations, proposals and other prior or contemporaneous writings, correspondence or communications with respect to the subject matter hereof, both written and verbal. This Agreement shall be construed under and governed by, and any dispute under this Agreement or related to this Agreement shall be decided in accordance with, the laws of the State of Minnesota without regard to its principles on the conflict of laws. Any legal action or proceeding arising from or related to this Agreement shall be brought in a state or federal court in Hennepin County, Minnesota, which court shall have exclusive jurisdiction over any controversy arising from or related to this Agreement. Each party irrevocably consents to the jurisdiction of such court. The prevailing party in any such legal action or proceeding shall, in addition to any other relief, be entitled to recover its costs and reasonable attorney’s fees from the other party. (a) In this agreement capitals used in the definitions may also be replaced with their lower case equivalent and vice versa words importing the singular shall include the plural and vice versa, words importing a gender shall include all genders and words importing persons shall include bodies corporate, unincorporated associations and partnerships
