Common use of General Provision Clause in Contracts

General Provision. a. The Trust hereby employs OFI GLOBAL and OFI GLOBAL hereby undertakes to act as the investment adviser of the Fund and to perform for the Fund such other duties and functions as are hereinafter set forth. OFI GLOBAL shall, in all matters, give to the Fund and the Trust’s Board of Trustees the benefit of its best judgment, effort, advice and recommendations and shall, at all times conform to, and use its best efforts to enable the Fund to conform to: (i) the provisions of the Investment Company Act and any rules or regulations thereunder; (ii) any other applicable provisions of state or Federal law; (iii) the provisions of the Declaration of Trust and By-Laws of the Trust as amended from time to time; (iv) policies and determinations of the Board of Trustees of the Trust; (v) the fundamental policies and investment restrictions of the Fund as reflected in the Trust’s registration statement under the Investment Company Act or as such policies may, from time to time, be amended by the Fund’s shareholders; and (vi) the Prospectus and Statement of Additional Information of the Trust in effect from time to time. The appropriate officers and employees of OFI GLOBAL shall be available upon reasonable notice for consultation with any of the trustees and officers of the Trust with respect to any matters dealing with the business and affairs of the Trust including the valuation of portfolio securities of the Fund which securities are either not registered for public sale or not traded on any securities market.

General Provision. a. The Trust hereby employs OFI GLOBAL Advisor and OFI GLOBAL Advisor hereby undertakes to act as the investment adviser of the Fund and to perform for the Fund such other duties and functions as are hereinafter set forth. OFI GLOBAL Advisor shall, in all matters, give to the Fund and the Trust’s Board of Trustees the benefit of its best judgment, effort, advice and recommendations and shall, shall at all times conform to, and use its best efforts to conform to and enable the Fund to conform to: (i) the provisions of the Investment Company Act and any rules or regulations thereunder; (ii) any order or no-action relief of the Commission applicable to the operation of the Fund; (iii) any other applicable provisions of state or Federal federal law; (iiiiv) the provisions of the Declaration of Trust and By-Laws of the Trust Trust, as amended from time to time; (ivv) policies any other policies, procedures and determinations of the Board of Trustees of the Trust; (vvi) the fundamental policies and investment restrictions of the Fund as reflected in the Trust’s registration statement under the Investment Company Act or as such policies may, from time to time, be amended by the Fund’s shareholdersAct; and (vivii) the Prospectus and Statement of Additional Information of the Trust in effect from time to time. The appropriate officers officers, contractors and employees of OFI GLOBAL Advisor shall be available upon reasonable notice for consultation with any of the trustees and officers of the Trust with respect to any matters dealing with the business and affairs of the Trust as they pertain to the Fund, including the valuation of any of the Fund’s portfolio securities of the Fund which securities are either do not registered for public sale or not traded on any securities markethave readily available market quotations per Section 3 hereof.

The appropriate officers and employees of OFI GLOBAL shall be available upon reasonable notice for consultation with any of the trustees and officers of the Trust with respect to any matters dealing with the business and affairs of the Trust including the valuation of portfolio securities of the Fund which securities are either not registered for public sale or not traded on any securities market.

OFI GLOBAL shall, in all matters, give to the Fund Trust and the Trust’s its Board of Trustees the benefit of its best judgment, effort, advice and recommendations and shall, at all times conform to, and use its best efforts to enable the Fund to conform to: to (i) the provisions of the Investment Company Act and any rules or regulations thereunder; (ii) any other applicable provisions of state or Federal federal law; (iii) the provisions of the Declaration of Trust and By-Laws of the Trust as amended from time to time; (iv) policies and determinations of the Board of Trustees of the Trust; (v) the fundamental policies and investment restrictions of the Fund as reflected in the Trust’s 's registration statement under the Investment Company Act or as such policies may, from time to time, be amended by the Fund’s 's shareholders; and (vi) the Prospectus and Statement of Additional Information of the Trust Fund in effect from time to time. OFI GLOBAL shall, in all matters, give to the Fund Funds and the Trust’s its Board of Trustees the benefit of its best judgment, effort, advice and recommendations and shall, at all times conform to, and use its best efforts to enable the Fund Funds to conform to: to (i) the provisions of the Investment Company Act and any rules or regulations thereunder; (ii) any other applicable provisions of state or Federal federal law; (iii) the provisions of the Declaration of Trust and By-Laws of the Trust as amended from time to time; (iv) policies and determinations of the Board of Trustees of the Trust; (v) the fundamental policies and investment restrictions of the Fund Funds as reflected in the Trust’s registration statement under the Investment Company Act or as such policies may, from time to time, be amended by the Fund’s Funds’ shareholders; and (vi) the Prospectus and Statement of Additional Information of the Trust in effect from time to time. The appropriate officers and employees of OFI GLOBAL shall be available upon reasonable notice for consultation with any of the trustees Trustees and officers of the Trust with respect to any matters dealing with the business and affairs of the Trust including the valuation of the portfolio securities of the Fund Funds which securities are either not registered for public sale or not being traded on any securities market.

The Trust hereby employs OFI GLOBAL VTL and OFI GLOBAL VTL hereby undertakes to act as the investment adviser of the Fund and to perform for the Fund such other duties and functions as are hereinafter set forth. OFI GLOBAL VTL shall, in all matters, give to the Fund and the Trust’s Board of Trustees the benefit of its best judgment, effort, advice and recommendations and shall, at all times conform to, and use its best efforts to enable the Fund to conform to: (i) the provisions of the Investment Company Act and any rules or regulations thereunder; (ii) any other applicable provisions of state or Federal law; (iii) the provisions of the Declaration of Trust and By-Laws of the Trust as amended from time to time; (iv) policies and determinations of the Board of Trustees of the Trust; (v) the fundamental policies and investment restrictions of the Fund as reflected in the Trust’s registration statement under the Investment Company Act or as such policies may, from time to time, be amended by the Fund’s shareholders; and (vi) the Prospectus and Statement of Additional Information of the Trust in effect from time to time. The appropriate officers and employees of OFI GLOBAL shall be available upon reasonable notice for consultation with any of the trustees Trustees and officers of the Trust Fund with respect to any matters dealing with the business and affairs of the Trust Fund including the valuation of portfolio securities of the Fund which securities are either not registered for public sale or not traded on any securities market.

The appropriate officers and employees of OFI GLOBAL shall be available upon reasonable notice for consultation with any of the trustees Trustees and officers of the Trust Fund with respect to any matters dealing with the business and affairs of the Trust Fund including the valuation of portfolio securities of the Fund which securities are either not registered for public sale or not traded on any securities market.

The Trust hereby employs OFI GLOBAL the Adviser and OFI GLOBAL the Adviser hereby undertakes to act as the investment adviser of the Fund Trust and to perform for the Fund Trust such other duties and functions as are hereinafter set forthforth for the compensation herein provided. OFI GLOBAL The Adviser shall, in all matters, give to the Fund Trust and the Trust’s its Board of Trustees (the “Board”) the benefit of its best judgment, effort, advice and recommendations and shall, at all times conform to, and use its best efforts to enable the Fund Trust to conform to: to (i) the provisions of the Investment Company Act and any rules or regulations thereunder; , (ii) any other applicable provisions of state or Federal federal law; , (iii) the provisions of the Declaration of Trust and By-Laws of the Trust as amended from time to time; , (iv) the policies and determinations of the Board of Trustees of the TrustBoard; (v) the fundamental investment policies and investment restrictions of the Fund Trust as reflected in the Trust’s registration statement under the Investment Company Act or as such policies may, from time to time, be amended by the FundTrust’s shareholders; and (vi) the Prospectus and Statement of Additional Information of the Trust each Fund in effect from time to time. The appropriate officers and employees of OFI GLOBAL the Adviser shall be available upon reasonable notice for consultation with any of the trustees Trustees and officers of the Trust with respect to any matters dealing with the business and affairs of the Trust Trust, including the valuation of any Fund’s portfolio securities of for which market prices are unavailable or the Fund which securities Adviser believes the market prices are either not registered for public sale or not traded on any securities marketunreliable.

General Provision. a. The Trust hereby employs OFI GLOBAL and OFI GLOBAL hereby undertakes to act as the investment adviser of the Fund and to perform for the Fund such other duties and functions as are hereinafter set forth. The appropriate officers and employees of OFI GLOBAL shall be available upon reasonable notice for consultation with any of the trustees Trustees and officers of the Trust Fund with respect to any matters dealing with the business and affairs of the Trust Fund, including the valuation of any of the Fund's portfolio securities of the Fund which securities are either not registered for public sale or not traded on any securities market. b. OFI shall not be liable for any loss sustained by the Fund in connection with any matters to which this Agreement relates, except a loss resulting by reason of OFI's willful misfeasance, bad faith or gross negligence in the performance of its duties; or by reason of its reckless disregard of its obligations and duties under this Agreement.

OFI GLOBAL The Adviser shall, in all matters, give to the Fund Funds and the Trust’s its Board of Trustees the benefit of its best judgment, effort, advice and recommendations and shall, at all times conform to, and use its best efforts to enable the Fund Funds to conform to: to (i) the provisions of the Investment Company Act and any rules or regulations thereunder; (ii) any other applicable provisions of state or Federal federal law; (iii) the provisions of the Declaration of Trust and By-Laws of the Trust Funds as amended from time to time; (iv) policies and determinations of the Board of Trustees of the TrustFunds; (v) the fundamental policies and investment restrictions of the Fund Funds as reflected in the Trust’s its registration statement under the Investment Company Act or as such policies may, from time to time, be amended by the Fund’s Funds’ shareholders; and (vi) the Prospectus and Statement of Additional Information of the Trust Funds in effect from time to time. The appropriate officers and employees of OFI GLOBAL the Adviser shall be available upon reasonable notice for consultation with any of the trustees Trustees and officers of the Trust Funds with respect to any matters dealing with the business and affairs of the Trust Funds including the valuation of any of the Funds’ portfolio securities of the Fund which securities are either not registered for public sale or not being traded on any securities market.
