Gifts and inducements. Personnel may not solicit or accept any gift or inducement which may influence their independence or business judgement or which could create a conflict with any duty owed to us or our clients. This restriction does not include special promotions on products and services which have been agreed by our senior management, nor does it cover corporate gifts and hospitality which are considered to be incidental to our ordinary business. Examples of gifts and inducements which may not be offered or accepted include cash, gifts readily convertible into cash or any other object of significant value. Personnel are required to register with the Compliance Department details of hospitality or gifts, whether given or received, with an estimated value in excess of $50 (or the equivalent in other currencies) and to seek guidance from that department if in doubt about the suitability of any gift. Such items are recorded in our Gifts and Hospitality Register which is subject to regulatory inspection.

Gifts and inducements. The giving and receiving of gifts or inducements has the potential to create conflicts of interest. JPMAM employees must not solicit or provide anything of value directly or indirectly to or from anyone, except under limited circumstances, which would impair the JPMAM’s duty to act in the best interest of the client.
Gifts and inducements. No Staff members may accept or give any gift or non-monetary benefit such as client entertainment that is likely to give rise to a conflict of interest with duties owed to the Bank or his/her clients. For example, business lunches or tickets to sporting or cultural events are permitted (in moderation and subject to the ICBC Professional Conduct Policy which contains Staff policy on gifts and hospitality, bribery and personal account dealing), but (subject to limited exceptions approved on an ad hoc basis by Senior Management) gifts with an estimated value in excess of £50 and hospitality with an estimated value in excess of £100, the financing of personal or business expenditure or preferential personal dealing terms are not permitted. Any gifts of any kind received or given above the thresholds described by Staff must be disclosed in writing to the Compliance & Legal Department, which maintains and will record such items on the Bank’s gift register.

None of such agreements or instruments has been assigned by the Company, and neither the Company nor, to the Company’s knowledge, any other party is in default thereunder and, to the Company’s knowledge, no event has occurred that, with the lapse of time or the giving of notice, or both, would constitute a default thereunder. To the best of the Company’s knowledge, performance by the Company of the material provisions of such agreements or instruments will not result in a violation of any existing applicable law, rule, regulation, judgment, order or decree of any governmental agency or court, domestic or foreign, having jurisdiction over the Company or any of its assets or businesses (each, a “Governmental Entity”), including, without limitation, those relating to environmental laws and regulations.
