Governing Law; Legal Fees. This Agreement shall be governed by and construed under the laws of the State of Indiana. Venue of any litigation arising from this Agreement or any disputes relating to the Executive’s employment shall be in the United States District Court for the Northern District of Indiana, Fort Xxxxx Division or a state district court of competent jurisdiction in Elkhart County, Indiana. The Executive and the Companies consent to personal jurisdiction of the United States District Court for the Northern District of Indiana, Fort Xxxxx Division, or a state district court of competent jurisdiction in Elkhart County, Indiana for any dispute relating to or arising out of this Agreement or the Executive’s employment, and the Executive and the Companies agree that the Executive and the Companies shall not challenge personal or subject matter jurisdiction in such courts.
Governing Law; Legal Fees. This Lease shall be interpreted and enforced according to the laws of the State of Colorado. If any action is commenced by one party hereto against another party hereto, the non-prevailing party shall reimburse the prevailing party for all of its expenses of such action, including reasonable attorney fees and disbursements.

If the Hotel retains the services of a collection agency or legal representative to assist in the collection of amounts due to the Hotel under this Agreement, you agree to reimburse the Hotel for all expenses (including reasonable legal fees and costs) incurred by Hotel in the collection effort.

The laws of the State of Delaware shall govern the interpretation, validity and performance of the terms of this Agreement regardless of the law that might be applied under principles of conflicts of laws. In the event of any dispute regarding any term of this Restricted Stock Award, the Company shall promptly reimburse the Employee for all legal fees and expenses the Employee incurs in connection with such dispute if the Employee prevails in such dispute on a substantial portion of the claims under such dispute.
