Early Termination of Employment. In addition to any Termination of Employment of Executive as a Retired Early Employee under Paragraph 6 of this Agreement, a Termination of Employment of Executive may occur prior to the normal expiration of the Term under the circumstances and with the consequences set forth below.

For purposes of this Agreement, “Cause” shall mean (i) the commission of a crime involving dishonesty, breach of trust, or physical harm to any person; (ii) employee willfully engages in conduct that is in bad faith and materially injurious to Team, including but not limited to, misappropriation of trade secrets, fraud, or embezzlement; (iii) a material breach of this Agreement or (iv) Employee’s willful refusal to implement or follow a lawful policy or directive of Team. Either party may terminate Employee’s employment at any time for any reason. In the event of such early termination for any reason other than for “Cause”, as described above, Employee shall be entitled to all payments and benefits due pursuant to Section B of this Agreement, except for the continuation of Base Salary beyond the actual termination date, as set forth in Sections B(1) and C(2) above.

Early Termination of Employment. (a) The early termination of the Employee's employment hereunder shall result upon the first to occur of (i) the termination of such employment by the Company, at any time, for Cause, without Cause or by reason of the Disability of the Employee, (ii) the death of the Employee and (iii) the resignation of the Employee from such employment, at any time, for Good Reason or without Good Reason. (b) For purposes of this Agreement, the term "CAUSE" means (i) the gross negligence or willful misconduct by the Employee in the performance of his duties, (ii) the commission by the Employee of any act of fraud, theft or financial dishonesty with respect to the Company or any of its Subsidiaries or if Employee is convicted of a felony, (iii) the material breach by the Employee of this Agreement (including, but not limited to, any breach or threatened breach by the Employee of the provisions of SECTIONS 7, 8, 9 or 10), or (iv) the willful disregard, or failure to follow written instructions from, the President of the Company, the Board or any of their designees, to perform any legal act relating to the business of the Company or its Subsidiaries which would be commensurate with the usual and customary duties, responsibilities and authority of the Chief Technology Officer of the Company or such other position held by the Employee as may be determined by the Board or the Chief Executive Officer or President of the Company or otherwise consistent with such position. Before the Employee's employment with the Company hereunder may be terminated by the Company for Cause, the Employee shall have 10 days after written notice of such basis for termination to cure such basis for termination; PROVIDED, HOWEVER, no such right to cure shall exist if the basis for such termination is incurable or if otherwise any of the acts referred to in CLAUSE (i) of the definition of "CAUSE" have been committed by the Employee.
