Government Contract Claims. (a) For purposes of this Agreement and the other Loan Documents, the following terms shall have the meanings set forth below:

Government Contract Claims. Any and all Losses that may be asserted against Buyer Indemnitee or that such Buyer Indemnitee may incur or suffer and that arise out of, result from or relate to any claim, penalty or enforcement action by any person including any government with respect to a Government Contract or Government Bid, but only to the extent that such claim relates to a product (or portion thereof) manufactured (to the extent not modified in any way by Buyer) or sold, a service (or portion thereof) provided, or an accounting method or entry used or made by Seller or Elecsys pursuant to such Government Contract or Government Bid, or pursuant to any sub-contract under such Government Contract or Government Bid, on or prior to the Closing Date.
Government Contract Claims. The Parties agree that Prime Contractor will reasonably cooperate with Subcontractor in preserving any claim as defined under FAR 33.001 the Prime Contractor may have against the United States Government which arises under or is related to the Subject Contracts. However, Prime Contractor shall have no obligation to submit the appeal of any claim to a Board of Contract Appeals or to the Court of Federal Claims under the “Disputes” clause of any Subject Contract, nor shall Prime Contractor have any obligation to pursue any other form of litigation against the United States Government or any other person during the term of this Subcontract Agreement. Subcontractor may freely pursue any and all such litigation upon the execution of the Novation Agreements by the United States Government.

  • GOVERNMENT PERMITS The Company and its subsidiaries possess such certificates, authorities or permits issued by the appropriate state, federal or foreign regulatory agencies or bodies necessary to conduct the business now operated by them, other than those which the failure to possess or own would not have, individually or in the aggregate, a Company MAE. Neither the Company nor any of its subsidiaries has received any notice of proceedings relating to the revocation or modification of any such certificate, authority or permit which, individually or in the aggregate, if the subject of an unfavorable decision, ruling or finding, would result in a Company MAE.

  • Litigation and Government Claims There is no pending suit, claim, action or litigation or administrative, arbitration or other proceeding or governmental investigation or inquiry against OSI or Outback which would, severally or in the aggregate, have a material adverse effect on the business, results of operations, assets or the condition, financial or otherwise, of OSI and its subsidiaries, taken as a whole. There are no such proceedings threatened or, to the knowledge of OSI or Outback, contemplated or any unasserted claims (whether or not the potential claimant may be aware of the claim), which might, severally or in the aggregate have a material adverse effect on the business, results of operations, assets or the condition, financial or otherwise, of OSI and its subsidiaries, taken as a whole.

  • Government Consent No order, consent, approval, license, authorization or validation of, or filing, recording or registration with, or exemption by, any governmental or public body or authority is required on the part of the Borrower to authorize, or is required in connection with the execution, delivery and performance of, or the legality, validity, binding effect or enforceability of, the Loan Documents.

No order, consent, adjudication, approval, license, authorization, or validation of, or filing, recording or registration with, or exemption by, or other action in respect of any governmental or public body or authority, or any subdivision thereof, which has not been obtained by the Borrower or any Guarantor, is required to be obtained by the Borrower or any Guarantor in connection with the execution and delivery of the Loan Documents, the borrowings under this Agreement, the payment and performance by the Borrower or any Guarantor of the Obligations or the legality, validity, binding effect or enforceability of any of the Loan Documents.

  • Government Funding No government funding, facilities or resources of a university, college, other educational institution or research center or funding from third parties was used in the development of the Company’s Proprietary Assets and no governmental entity, university, college, other educational institution or research center has any claim or right in or to the Company’s Proprietary Assets.
