Government Function Sample Clauses

The Government Function clause defines the rights and responsibilities of the parties when a contract involves activities or services that are considered essential government functions. Typically, this clause clarifies which tasks are to be performed by government personnel versus those that may be delegated to contractors, and may restrict contractors from making decisions or taking actions reserved for government officials. Its core practical function is to ensure compliance with legal and regulatory requirements by clearly delineating the boundaries between governmental authority and contractor roles, thereby preventing unauthorized delegation of official powers.
Government Function. This Agreement does not, and is not intended to, impair, divest, delegate, or contravene any constitutional, statutory, or other legal right, privilege power, obligation, duty, or immunity of the Parties. The obligations in this Agreement are in the exercise or discharge of a governmental function.
Government Function. If the amount of this contract exceeds two million five hundred thousand dollars, and if the contract is for the performance of a government function as that term is defined in Conn. Gen. Stat. § 1-200(11), as amended by Public Act No. 01-169 and Public Act 02-130, the Department is entitled to receive a copy of the records and files related to the Contractor’s performance of a government function.
Government Function. This Agreement is to perform a governmental function solely for the public benefit, and the City does not waive its immunity by entering into and performing its obligations under the Agreement.
Government Function. The work and activities performed pursuant to this Memorandum are governmental functions. It is the intention of the Parties hereto that this Memorandum shall not be construed to waive the defense of governmental immunity held by the Parties.
Government Function. It is declared that the SERVICES performed under this Agreement are a governmental function. It is the intention of the parties hereto that this Agreement shall not be construed to waive the RCOC’s defense of government immunity.

  • Performance of Government Functions Nothing contained in this contract shall be deemed or construed so as to in any way estop, limit, or impair the City from exercising or performing any regulatory, policing, legislative, governmental, or other powers or functions.

  • Government Users The software is commercial computer software. If the user or licensee of the software is an agency, department, or other entity of the United States Government, the use, duplication, reproduction, release, modification, disclosure, or transfer of the software, or any related documentation of any kind, including technical data and manuals, is restricted by a license agreement or by these WS AV Terms in accordance with Federal Acquisition Regulation 12.212 for civilian purposes and Defense Federal Acquisition Regulation Supplement 227.7202 for military purposes. The software was developed fully at private expense. All other use is prohibited.

  • Government Use If the Software, Documentation, Materials and any other Licensor services are being or have been acquired with U.S. Federal Government funds, or Customer is an agency, department, or other entity of the United States Government ("Government"), the use, duplication, reproduction, release, modification, disclosure, or transfer of the Software or any related documentation of any kind, including technical data, manuals or Materials, is restricted in accordance with Federal Acquisition Regulation 12.212 for civilian agencies and Defense Federal Acquisition Regulation Supplement 227.7202 for military agencies. The Software, Materials, and any Licensor services are COMMERCIAL ITEMS AS DEFINED BY THE FEDERAL ACQUISITION REGULATION. Use of the Software and Materials by the Government is further restricted according to the Agreement and any amendment hereto.
