Governmental Authority Consents. All necessary consents, approvals and authorizations of all Governmental Authorities and other parties required to be obtained by Ibis and Isis in connection with the execution and delivery of each of the Transaction Documents and the performance of their obligations hereunder and thereunder have been obtained.

Governmental Authority Consents. (i) The Borrower represents, warrants and covenants that the Borrower possesses or is the beneficiary of all material permits, licenses, authorizations, approvals and consents of governmental or public bodies or authorities, federal, state and local, including, without limitation, all material licenses, authorizations and permits relating to environmental matters (hereinafter referred to collectively as the "Governmental Consents") necessary for: (i) the activities and business of the Borrower as currently conducted and as proposed to be conducted, and (ii) the ownership, use, operation and maintenance by the Borrower of its properties and assets, and such Governmental Consents are the only Governmental Consents required for the foregoing purposes where failure to obtain such consents would have a Material Adverse Effect.
(ii) The Borrower represents, warrants and covenants that the Borrower has received all of such Governmental Consents with respect to its assets, properties and operations, and (ii) all of such Governmental Consents have been duly and validly granted by the governmental authorities in the jurisdictions where its operations are located, are in full force and effect and have not been amended, modified, rescinded, revoked or assigned, except to the extent no Material Adverse Effect would in each case be caused thereby.
(iii) To the best of the Borrower's knowledge, no condition exists or event has occurred that, in itself or with the giving of notice or lapse of time or both, would result in the suspension, revocation, impairment, forfeiture, non-renewal of any Governmental Consent applicable to any operations owned or operated by the Borrower or the Borrower's participation in any government programs, and there is no claim that any such Governmental Consent, participation or contract is not in full force and effect. Governmental Authority Consents. Seller is not required to submit any notice, report or other filing with any governmental authority in connection with the execution or delivery by it of this Agreement or the consummation of the transactions contemplated hereby. Except as set forth in the Disclosure Schedule, no consent, approval or authorization of any governmental or regulatory authority is required to be obtained by Seller in connection with its execution, delivery and performance of this Agreement.
Governmental Authority Consents. Seller must have received and delivered to Buyer the Consents, including the required height, environmental, and special land use, site plan, and any other zoning approvals, variances and permits, as well as the Tax Status Letter described in Section 12.6.7, from applicable Governmental Authorities, in a form and content satisfactory to Buyer, for Seller's performance of its obligations under this Agreement including the construction and operations of the Project in a manner satisfactory to Buyer; which approvals, variances and permits must be final and not subject to being overturned or modified on appeal or further appeal. If there has been any change to the Special Land Use Permit (or its equivalent as required by the Governmental Authorities), Seller has notified Buyer of the change and whether it adversely affects the Project for Buyer's determination regarding Seller's conclusion. With respect to Consents that cannot be obtained prior to NTP, Buyer and Seller have agreed on the remaining Consents to be obtained by the earlier of Substantial Completion or the date required by the Governmental Authorities necessary for Seller's timely performance under this Agreement.
Governmental Authority Consents. All material consents, ------------------------------- authorizations, orders and approvals of (or filings or registrations with) any Governmental Authority required in connection with the execution, delivery and performance of this Agreement (including the transfer of the Stock to Buyer) shall have been obtained or made.
Governmental Authority Consents. All requisite consents of, or notifications, filings, notices or other submissions to, the Governmental Authorities identified in Schedule 4.05 shall have been obtained or submitted, as applicable.

There will have been obtained at or prior to the Closing the permits, authorizations and approvals by any gaming Regulatory Authority set forth on schedule 7.1.6 which requires approval of the transactions contemplated by this Agreement and the Services Agreement dated January 12, 2012 between xxxx.xxxxx management (Gibraltar) Limited and Ongame Network Limited shall remain in full force and effect without any amendment following the Signing Date.
Governmental Authority Consents. The parties shall have filed with the Federal Trade Commission and the Antitrust Division of the Department of Justice notification and report forms with respect to the transactions contemplated hereby pursuant to the Xxxx-Xxxxx- Xxxxxx Act and the rules promulgated thereunder, and the waiting period required to expire under such Act and rules, including any extension thereof, shall have expired or early termination thereof shall have been granted. Subject to the provisions of Section 5.8(b), Seller shall have obtained all necessary consents to the transactions contemplated by this Agreement with respect to the contracts listed on Schedule 6.6. ------------
