GRAPH. TECH believes the graphite contained in the Deposit may be of use in its production of advanced graphite materials. GRAPH-TECH, directly or through a corporation affiliated with GRAPH-TECH, is willing to fund the expenses of a feasibility study (the "Study") on the Deposit. References herein to "GRAPH-TECH" shall mean GRAPH-TECH, or a GRAPH-TECH affiliate.

GRAPH. TECH has first priority to all graphite available through the Vehicle and the Vehicle shall sell only capacity in excess of GRAPH-TECH's requirements to third parties.

GRAPH. Cap strike rate = ------- • It provides the Borrower with a pre-agreed maximum rate of interest. • The Borrower benefits from floating rates lower than the Cap strike rate. • There are no additional costs arising from early termination. The Borrower will be entitled to receive any residual value attributable to the Cap. • The Borrower will incur a premium cost, usually paid up front. • If the floating rate remains below the Cap strike rate during the tenor of the Swap, the Borrower may feel they received no value. • An interest rate floor is a series of European put options or floorlets on a specified reference rate, usually LIBOR. • Interest rate floors are utilized in derivative contracts and loan agreements. Interest rate floors are often used in the adjustable rate mortgage (ARM) market. • An OTC interest rate derivative, or specifically a contract on an interest rate whereby the seller (or the writer) pays the buyer (lender of loan), at periodic payment dates, the negative difference between the market interest rate (the reference interest rate) and the agreed strike price (the floor). • The floor, in other words, is the minimum interest rate that may be effected on, or affixed to, a contract. • For example, a lender may buy an interest rate floor stipulating that the interest rate should not go below 4% even if market rates necessitate lower levels. GRAPH. TECH shall pay to UCAR rent and fees for the Services (a "Fee"). The Fee shall be as specified in Schedule 1.1 and shall determined in accordance with this Section 3.

I hereby waive any right that I may have to inspect or approve the finished product and the advertising copy or other matter that may be used in connection therewith or the use to which it may be applied. You agree that we, the Manager and our designees will have no liability due to any blurring, distortion, alteration, optical illusion, or use in composite form that may occur in taking or usage of any picture or in the subsequent processing or publication of the picture. You release us, the Manager, and our designees from all claims of any nature arising in any way from the use of your photograph or photographic image. This release contains the entire agreement on this subject matter.

  • Video This restriction includes, but is not limited to, use of the Beat and/or New Song in television, commercials, film/movies, theatrical works, video games, and in any other form on the Internet which is not expressly permitted herein.

  • Maps The maps service and features of the iOS Software (“Maps”), including map data coverage, may vary by region. When you use any location-based features within Maps, such as turn-by-turn navigation, traffic and local search, various location-related and usage information may be sent to Apple, including the real-time geographic location of your iOS Device, in order to process your request and help improve Maps. Such location and usage data is collected by Apple in a form that does not personally identify you. By using Maps, you agree and consent to Apple’s and its subsidiaries’ and agents’ transmission, collection, maintenance, processing, and use of this information, to provide and improve the Maps features and service, and other Apple products and services.   • Catalog Information about Hawthorn University is published in a school catalog that contains a description of certain policies, procedures, and other information about the school. Hawthorn University reserves the right to change any provision of the catalog at any time. Notice of changes will be communicated in a revised catalog, an addendum or supplement to the catalog, or other written format. Students are expected to read and be familiar with the information contained in the school catalog, in any revisions, supplements and addenda to the catalog, and with all school policies. By enrolling in Hawthorn University, the student agrees to abide by the terms stated in the catalog and all school policies.

  • Artwork Licensee must use the Java Logo(s) only in the exact form of approved camera-ready artwork or electronic artwork received from Oracle or Oracle's designee.

  • Media No media releases, public announcements or public disclosures relating to this Agreement or its subject matter, including but not limited to promotional or marketing material, shall be made by the Contractor without the prior written consent of the Client.

  • Drivers Any and all drivers who drive the Vehicles you are renting/leasing from us shall be duly licensed, trained and qualified to drive vehicles of this type. Although we may, from time to time, recommend certain qualified drivers with whom we are familiar, we do not supply drivers. You must supply and employ any driver who drives our Vehicles (even if the driver is the registered owner of the vehicle or owner of a company that owns the vehicle) and that driver shall be deemed to be your employee for all purposes and shall be covered as an additional insured on all of your applicable insurance policies.

  • Drawings In respect of the Concessionaire's obligations relating to the Drawings of the Bus Terminal as set forth in this Agreement, the following shall apply: (a) The Concessionaire shall prepare and submit, with reasonable promptness and in such sequence as is consistent with the Project Completion Schedule, three copies each of all Drawings to the Independent Engineer for review; (b) The Concessionaire shall clearly specify in the Drawings the area of Bus Terminal, Project Facilities and associated circulation area that shall be handed over to the Authority after the Concession Period of Bus Terminal. (c) By submitting the Drawings for review to the Independent Engineer, the Concessionaire shall be deemed to have represented that it has determined and verified that the design and engineering, including field construction criteria related thereto, are in conformity with the Scope of the Project and the Specifications and Standards; (d) Within 15 (fifteen) days of the receipt of the Drawings, the Independent Engineer shall review the same and convey its observations to the Concessionaire with particular reference to their conformity or otherwise with the Scope of the Project and the Specifications and Standards. The Concessionaire shall not be obliged to await the observations of the Independent Engineer on the Drawings submitted pursuant hereto beyond the said 15 (fifteen) days period and may begin or continue Construction Works at its own discretion and risk; (e) If the aforesaid observations of the Independent Engineer indicate that the Drawings are not in conformity with the Scope of the Project or the Specifications and Standards, such Drawings shall be revised by the Concessionaire and resubmitted to the Independent Engineer for review. The Independent Engineer shall give its observations, if any, within 7 (seven) days of receipt of the revised Drawings; (f) No review and/or observation of the Independent Engineer and/or its failure to review and/or convey its observations on any Drawings shall relieve the Concessionaire of its obligations and liabilities under this Agreement in any manner nor shall the Independent Engineer or the Authority be liable for the same in any manner; (g) Without prejudice to the foregoing provisions of this Clause 12.3, the Concessionaire shall submit to the Authority for review and comments, its Drawings relating to the Bus Terminal, finished road level, location and layout of the ticket counter[s], Workshop[s], Authority's Office and general arrangement drawings, and the Authority shall have the right but not the obligation to undertake such review and provide its comments, if any, within 30 (thirty) days of the receipt of such Drawings. The provisions of this Clause 12.3 shall apply mutatis mutandis to the review and comments hereunder; and (h) Within 90 (ninety) days of the Project Completion Date, the Concessionaire shall furnish to the Authority and the Independent Engineer a complete set of as-built Drawings, in 2 (two) hard copies and in micro film form or in such other medium as may be acceptable to the Authority, reflecting the Bus Terminal as actually designed, engineered and constructed, including an as-built survey illustrating the layout of the Bus Terminal and setback lines, if any, of the buildings and structures forming part of Project Facilities.

  • Manuals Each product delivered under contract to any Customer must be delivered with at least one (1) copy of a safety and operating manual and any other technical or maintenance manual. The cost of the manual(s) must be included in the price for the Product offered.
