H-S-R. All applicable waiting periods, if any, shall have expired under the Xxxx-Xxxxx-Xxxxxx Antitrust Improvements Act, or early termination of such waiting periods shall have been granted by the appropriate Governmental Entities.

H-S-R. If either Shell or Buyer determine that the Xxxx-Xxxxx-Xxxxxx Antitrust Improvements Act of 1976, as amended, is applicable to this transaction, then the Parties which are required to file shall file with the Federal Trade Commission and the Department of Justice the required notifications, reports, and supplemental information to comply in all respects with the requirements of said act.
H-S-R. Any applicable waiting period under the H-S-R Act shall have expired or have been terminated with respect to the transactions contemplated hereby.
H-S-R. The Seller and the Buyer shall have made the fillings ----- required under the H-S-R Act, and the waiting period under the H-S-R Act shall have expired or waived without the imposition of any conditions or restrictions that would materially and adversely impact the economic or business benefits to the Seller of the transactions contemplated by this Agreement.
H-S-R. Buyer and Seller shall each file or cause to be filed with the Federal Trade Commission and the United States Department of Justice any notifications required to be filed under the H-S-R Act with respect to the transactions contemplated hereby, and Buyer and Seller shall bear the costs and expenses of their respective filings; provided that Buyer and Seller shall each pay 50% of the filing fee in connection therewith. Buyer and Seller shall use their respective reasonable best efforts to make such filings promptly (and in any event within ten (10) business days) following the date hereof, to respond promptly to any requests for additional information and documentary materials made by either of such agencies, to make any further filings that may be necessary, proper or advisable in connection therewith and to cause the waiting periods under the H-S-R Act to terminate or expire at the earliest possible date and to resist in good faith, at each of their respective cost and expense (including the institution or defense of legal proceedings), any assertion that the transactions contemplated hereby constitute a violation of the antitrust laws, all to the end of expediting consummation of the transactions contemplated hereby. Each of Buyer, on the one hand, and Seller, on the other, shall consult with the other prior to any meetings, by telephone or in person, with the staff of the applicable governmental authorities, and each of Buyer and Seller shall have the right to have a representative present at any such meeting.
