Hart-Xxxxx-Xxxxxx Xxxings. All filings required to be made and notices required to be given pursuant to the HSR Act shall have been made, all approvals or consents required thereby shall have been obtained and the waiting periods required thereby, if any, shall have expired or terminated.
Hart-Xxxxx-Xxxxxx Xxxings. Each of the Purchaser and the Seller agrees to (i) use its reasonable best efforts to file all documents with the Federal Trade Commission and the United States Department of Justice as may be required to comply with the HSR Act, and (ii) promptly furnish all materials and information thereafter requested by any of the regulatory agencies having jurisdiction over such filings, and (iii) use all reasonable efforts to obtain an early termination of the applicable waiting period.
Hart-Xxxxx-Xxxxxx Xxxings. (a) Each of Purchaser and Seller shall promptly (and, with respect to notifiction under the HSR Act, within five business days after the date of this Agreement) apply for or otherwise seek, and use reasonable commercial efforts to obtain, all consents and approvals required to be obtained by it for the consummation of the transactions contemplated hereby, including those required under the HSR Act. The parties hereto will consult and cooperate with one another, and consider in good faith the views of one another, in connection with any analyses, appearances, presentations, memoranda, briefs, arguments, opinions and proposals made or submitted by or on behalf of any party hereto in connection with proceedings under or relating to the HSR Act or any other federal or state antitrust or fair trade law. Each of Purchaser and Seller agrees to use its best efforts to cause the conditions to closing referred to in Section 7.1(i) and 7.2(d) to be met and agrees to take all reasonable steps necessary to obtain early termination of the waiting period under the HSR Act.
Hart-Xxxxx-Xxxxxx Xxxings. Each of the Sellers and the Purchaser Parties will use their respective best efforts to file with the Antitrust Division of the Department of Justice (the "Antitrust Division") and the Federal Trade Commission (the "FTC") promptly following the date hereof the notification and report form (the "Report") required under the Hart-Xxxtx Xxxxxx Xxxitrust Improvements Act of 1976, as amended (the "HSR Act"), with respect to the transactions contemplated hereby. Each of the Sellers and the Purchaser Parties shall cooperate with the other party to the extent necessary to assist the other party in the preparation of its Report, shall request early termination of the waiting period required by the HSR Act and, if requested, will promptly amend or furnish additional information thereunder if requested by the Antitrust Division and/or the FTC. Purchaser shall pay all filing fees incurred in connection with the filing of any Report.
Hart-Xxxxx-Xxxxxx Xxxings. Each of the Purchaser, the Company and the Sellers will use all reasonable efforts to file with the Antitrust Division of the Department of Justice (the "Antitrust Division") and the Federal Trade Commission (the "FTC") within five Business Days after the date hereof the notification and report form (the "Report") required under the HSR Act with respect to the transactions contemplated hereby. Each of the Company, the Sellers and the Purchaser shall cooperate with each other to the extent necessary to assist each other in the preparation of its Report, shall request early termination of the waiting period required by the HSR Act and, if requested, will promptly amend or furnish additional information thereunder if requested by the Antitrust Division and/or the FTC.
Hart-Xxxxx-Xxxxxx Xxxings. If the HSR Act and the rules and regulations of the Federal Trade Commission require the parties to file Notification and Report Forms after the execution hereof, as soon as possible after the date hereof, but in no event later than 30 days after the date hereof, Buyer and Seller shall prepare and file all documents with the Federal Trade Commission and the United States Department of Justice as are required to comply with the HSR Act and shall promptly furnish all materials thereafter requested by any of the regulatory agencies having jurisdiction over such filings.
Hart-Xxxxx-Xxxxxx Xxxings. The Schedule 1.03 Sellers shall cause APP to promptly file with the Federal Trade Commission and the Department of Justice any notification and report required pursuant to the H-S-R Act and, in the event that any such filings are required, shall promptly file any supplemental information which is reasonably requested in connection therewith, in each case provided the disclosure of such information does not violate an attorney-client privilege.
Hart-Xxxxx-Xxxxxx Xxxings. Buyer shall promptly file with the Federal Trade Commission and the Department of Justice any notification and report required pursuant to the H-S-R and, in the event that any such filings are required, shall promptly file any supplemental information which is reasonably requested in connection therewith, in each case provided the disclosure of such information does not violate an attorney-client privilege.
Hart-Xxxxx-Xxxxxx Xxxings. If a filing under the HSR Act is required in connection with the acquisition of the Shares or any conversion of the Shares, the Company agrees, upon request of the Purchaser, to take all actions necessary to make, and to assist the Purchaser in making, any and all such filings.
Hart-Xxxxx-Xxxxxx Xxxings. Each of the parties will use its best efforts to promptly comply with any applicable requirements under the HSR Act, as amended, and all applicable rules and regulations promulgated thereunder, relating to filing and furnishing of information to the Federal Trade Commission ("FTC") and the Antitrust Division of the Department of Justice ("DOJ"). Any filing fees required to be paid under the HSR Act shall be paid 50 percent by Lenfxxx xxx 50 percent by SCC. SCC shall not be responsible for any fees due on Lenfxxx'x xxxnsaction with Seller. The parties' actions shall include, without limitation, (i) preparing and submitting or causing to be prepared and submitted all documents required to be filed under the HSR Act by
