Holiday Merchandise. Returns of 1997 Holiday Gift Sets (as identified by SKU on the attached Schedule 8.3(b)) received between January 1, 1998 and March 31, 1998 from the trade will be accepted by Buyer in accordance with its usual trade practices. The Seller and the Buyer agree that they will share financial responsibility for such returns based on their relative sales of individual SKUs during the period from July 1, 1997 through December 31, 1997 to the customer making the return. By way of examples: (i) if all shipments of a particular SKU to Customer X occurred prior to the Closing, Seller shall bear all financial responsibility for returns of such products and shall either credit that amount to the related outstanding account receivable or reimburse Buyer that amount for any credit or reimbursement made by Buyer in respect of such returns; (ii) if one third of shipments of a particular SKU to Customer Y occurred prior to the Closing and the balance after the Closing, Seller shall bear one-third of the financial responsibility for returns of such products and shall either credit that amount to the related accounts receivable or reimburse Buyer that amount for any credit or reimbursement made by Buyer in respect of such returns; and (iii) if all shipments of a particular SKU to Customer Z occurred after the Closing, Buyer shall bear all financial responsibility for such returns. The Seller shall pay any amounts owing to Buyer hereunder within thirty days of receipt of an Officer's Certificate from Buyer detailing such returns and sales, together with reasonable substantiation thereof.

  • Merchandise Programs, T-shirts, souvenirs, posters, novelty items, clothing apparel, and recorded media will be sold in the Centre only by BCEC Management or representatives nominated by it, unless BCEC Management agrees in writing to waive this condition. BCEC Management will retain 18% (including GST) of gross merchandise sales. All revenue derived from the sale of motion pictures, still photography, television or radio recordings, or other similar rights, is to be subject to a seperate agreement between Hirer and BCEC Management. In addition to its responsibilities under clause 7.1, Xxxxx must: (a) ensure that all performances include an interval of not less than 20 minutes; (b) ensure that all advertising, promotion and publicity for the Event or performances in the Event includes the following details: (i) ticket prices, advertised as "$ (basic ticket price) plus normal fees"; (ii) the time of each performance in the Event; (iii) details of any supporting acts for the main performance in the Event; and (iv) ticket booking details including the name of any ticketing agent of BCEC Management and the box office telephone number of BCEC Management or its ticketing agent; and (c) ensure that any tickets are sold only by outlets nominated by BCEC Management at the agreed ticket prices.

  • Alcoholic Beverages Costs of alcoholic beverages are unallowable.

  • Inventories All of the Assets constituting inventory are owned or used by Company, are in good, current, standard and merchantable condition and are not obsolete or defective.

  • Furniture Misuse of University property, including possession of common area furniture in on-campus housing is prohibited and may result in a replacement charge and/or return of the property.

  • Consumables During the design phase, Purchaser may participate in the selection of suppliers of consumables of the Supplier. In such case, the choice regarding the final selection of the said suppliers shall be mutually agreed between the Parties. Two suppliers shall be identified and selected for each type of consumables.

  • Food Although food may be served at a program being paid for with grant or local match funds, the food may not be purchased with grant or matching funds.

  • Trailers You are insured against claims arising out of your ownership, use or operation of any trailer or its equipment, provided that such trailer is not being towed by, attached to or carried on a motorized vehicle.

  • Containers The marine and intermodal cargo containers either owned or leased by the Borrower and employed by the Borrower in the conduct of its business, including, without limitation, refrigerated, dry van, tank, open top and flat rack containers and refrigeration units and generator sets associated therewith, but excluding any chassis for such containers.

  • Catering Cafeteria style of serving meals will be acceptable, providing dishes are carried back by the Culinary Staff. The food shall be of good quality and have the approval of the Camp Committee of the Building and Construction Trades Council of Ontario. There shall be sufficient housekeeping staff supplied by the Culinary Workers to keep the bunkhouses clean, and beds shall be made up each day by such staff. Kitchen facilities, equipment and food supplies shall be subject to inspection by the duly authorized Camp Committee at any and all times and further all grievances shall be dealt with by said Committee.
