Income Tax Payments. 3.1 UK tax resident Supplier Personnel engaged in the supply of Services, or any Supplier Personnel engaged in the supply of Services in the UK, who have access to HSBC systems via the generation of a staff ID, or who are granted access to HSBC premises under anything other than a visitor pass, shall not be contracted (whether directly or indirectly) through an “intermediary” as defined in the ITEPA and shall have PAYE and national insurance contributions applied to their earnings (whether by Supplier an agency or a third party); 3.2 Supplier warrants that it is not an “intermediary” as defined in the ITEPA, and will notify HSBC within 40 days if it subsequently meets the definition. 3.3 Supplier shall indemnify each HSBC Group Member against all claims and Losses arising out of or in connection with paragraphs 3.1 and 3.2 above. To the extent that the recovery of such sums is stated in any agreement as being contingent upon Supplier taking control of the relevant claim (IR35 Claim) then such IR35 Claim shall not be passed to Supplier and control of such IR35 Claim shall remain with the relevant HSBC Group Member; 3.4 All Supplier Personnel covered by this paragraph 3 are subject to the right of supervision, direction and control by Supplier for the purposes of s.339A of the ITEPA. 3.5 Paragraphs 3.1 to 3.3 shall not apply to the extent HSBC determines that the provision of Services is not subject to the IR35 legislation governing “intermediaries” as defined in ITEPA.

Income Tax Payments. Entravision shall timely cause to be paid ------------------- all federal, state, local and foreign Income Taxes with respect to the Income Tax Returns to be caused to be filed by Entravision pursuant to Section 10.1(a) above. Such Income Taxes to be caused to be paid by Entravision, to the extent attributable to any period or portion of any period ending on or before the Cut- Off Date, shall be referred to herein as "Pre-Cut-Off Date Taxes." Prior to the Closing, LCG shall pay to Entravision an amount equal to the Pre-Cut-Off Date Taxes due and not yet paid or reserved for on the Financial Statements with respect to any such returns caused to be filed by Entravision. Where the Pre- Cut-Off Date Taxes involve a period which begins before and ends after the Cut- Off Date (a "Straddle Period"), such Pre-Cut-Off Date Taxes shall be calculated as through the taxable year of LCG terminated at the close of business on the Cut-Off Date.
Income Tax Payments. Immediately after giving effect to the making of any income tax payments with respect to the Borrower’s income tax audits related to tax years 2003 through 2009, the Borrower and its Subsidiaries shall have minimum Liquidity of $100,000,000.
Income Tax Payments. Make any tax payment to any Governmental Authority or any Affiliate of the Borrower except to the extent a tax liability would have been payable by Borrower on a standalone basis. In any event no tax payment to any Governmental Authority or any Affiliate of the Borrower may be made earlier than 10 days prior to the date such payment is due (or, if to an Affiliate, would have been due) to the Governmental Authority. For the avoidance of doubt, taxable income for the purpose of this section will not include any intercompany (affiliate) income, including interest and dividends.
Income Tax Payments. Marketing Associate agrees and understands that Company does not withhold any funds from referral payments made to Marketing Associate for local, state and federal tax withholdings on behalf of Marketing Associate. Therefore, Marketing Associate hereby acknowledges that all income tax payment requirements are the sole responsibility of Marketing Associate and not of Company. Company shall also prepare an annual Federal IRS Form 1099 in January of each year to officially disclose all commission payments made by Company to Marketing Associate for the preceding calendar year. Prior to payment of initial first commission disbursement, Marketing Associate will be required to provide to Company a completed W-9 form for preparation of 1099 form for end of calendar year tax reporting purposes. A W-9 form will be required to be completed by Marketing Associate and be on file with Company prior to disbursement of first referral commission payment to Marketing Associate.
Income Tax Payments. Marketing Associate agrees and understands that Company does not withhold any monies from referral commission payments made to Marketing Associate for local, state and federal tax withholdings on behalf of Marketing Associate. Therefore, Marketing Associate hereby acknowledges that all income tax payment requirements are the sole responsibility of Marketing Associate and not of Company. Company shall also prepare an annual Federal IRS Form 1099 in January of each year to officially disclose all commission payments made by Company to Marketing Associate for the preceding calendar year.
