Right of Supervision. Each operation conducted by Unit Operator under this Agreement or the Unit Agreement shall be subject to supervision and control by the Parties that are chargeable with the Costs thereof in accordance with the succeeding provisions of this Article 14.
Right of Supervision. PDC is interested only in the accurate and timely completion of the Consulting Services. Therefore, the Consulting Services shall be subject to PDC's general right of inspection and supervision to secure its satisfactory completion. However, PDC shall have no right to control Consultant's hours of work or to supervise the Consultant in the details of the Consultant's work. The Consultant shall comply with all federal, state, and municipal laws, rules, and regulations that are now or may in the future become applicable to the Consultant or the Consulting Services.
Right of Supervision. Although the actual performance and supervision of all services performed under this Agreement shall be by the Consultant, the services performed by the Consultant must ultimately meet the approval of BPS. Therefore, BPS shall have a general right of inspection and supervision to secure satisfactory completion of the services. Accordingly, BPS shall designate a representative or representatives who shall regularly be kept informed of the services being performed by the Consultant in accordance with this Agreement. Such representative or representatives shall be empowered to act for BPS in all matters relating to the Consultant’s performance under this Agreement.
Right of Supervision. Lender shall be entitled to supervise compliance with all aforementioned provisions. For this purpose. Lender's employees may access Borrower's premises at normal times of day.
Right of Supervision. 10.1 The Data Processor shall, at the Data Controller's request, provide the Data Controller with sufficient documentation to ensure that the Data Processor has taken the necessary technical and organizational security measures.
10.2 To the extent the Data Controller also wants such information to extend to the processing provided by sub− processors, notice of this shall be given to the Data Processor. The Data Processor shall subsequently procure sufficient information from the sub−processor.
10.3 The Data Controller has the right, after consultation with the Data Processor, at the cost of the Data Controller, to carry out inspections or to have them carried out by an auditor to be designated in each individual case. The aim of such an inspection, will be to ensure that the Data Processor is in compliance of this Agreement in business operations by means of random checks, which are ordinarily to be announced in good time.
10.4 The Data Processor shall ensure that the Data Controller is able to verify compliance with the obligations of the Data Processor in accordance with Article 28 of the GDPR. The Data Processor undertakes the responsibility of giving the Data Controller the necessary information on request and, in particular, to demonstrate the execution of the Technical and Organizational Measures.
Right of Supervision. The Community is an independent Community and has the authority to control and direct the details of the services required; TPREF is only interested in the results obtained. The services performed by the Community must ultimately meet the approval of TPREF and the State of Tennessee. Therefore, TPREF shall have general right of inspection and supervision to secure satisfactory completion of the services. Accordingly, TPREF may designate a representative or representatives who shall regularly be kept informed of the services being performed by the Community in accordance with this Agreement. Such representative or representatives shall be empowered to act for TPREF in all matters relating to the Community’s performance under this Agreement. For purposes of this Agreement the designated representative for TPREF shall be Xxxxxxx Xxxxx, the Executive Director.
Right of Supervision. Unicorn’s senior management and other specified employees or representatives shall have the right to supervise the operation of the VIP gaming operations contemplated by this Agreement.
Right of Supervision. The Operator shall have the sole right and responsibility to supervise and manage the exploration and development of the Property and the engineering, design and construction of the Production Facilities, and to supervise, manage and conduct Activities of the Venture on behalf of the Participants in accordance with this Agreement and, without limiting the generality of the foregoing, the rights and responsibilities of the Operator shall include:
a. exploring for ores on the Property;
b. opening, developing and operating mines on the Property;
c. preparing Feasibility Reports or causing the same to be prepared;
d. designing, engineering and constructing Production Facilities in accordance with an approved construction program;
e. processing ores or other minerals into Venture Products;
f. marketing, selling and delivering Venture Products;
g. providing or acquiring all materials, supplies, machinery, equipment and services required for the Venture, and disposing of the same when no longer required or useful for the Venture;
h. hiring or transferring from its own personnel all executive and other employees required for the Venture, which employees shall be employees of the Operator or an Affiliate of the Operator, and not employees of the Venture;
i. performing all obligations of the Venture under any other agreement binding upon the Venture;
j. performing all obligations necessary to maintain in good standing any mineral property held by the Venture;
k. complying with laws applicable to the Venture;
l. securing licenses, permits and approvals for Activities of the Venture;
m. paying all taxes and other amounts payable by the Venture, except taxes measured by or assessed upon net income or receipts;
n. preparing and filing all reports or notices required to be filed by the Venture;
o. securing and maintaining liability and property insurance covering the insurable risks of the Venture and the interests of the Participants with coverage in the amounts to be determined by the Management Committee;
p. maintaining records of accounts for all transactions involving the Venture;
q. preparing proposed programs and budgets for the Venture and such other reports as may be required by this Agreement or reasonably requested by a Participant; and
r. preparing and submitting to the Management Committee monthly progress and financial reports, in the form and detail as from time to time reasonably requested by the Management Committee.
Right of Supervision. The client and the provider signed contracts for the provision of IT services on …………. . The provider processes the data only in accordance with the information as provided by the client. The people employed by the provider to process the data shall not process or use said data for any other purpose than the purpose specified in the contract or the client’s information.
Right of Supervision. GIA’s senior management and other specified employees or representatives shall have the right to enter the VIP Gaming Room, including the counting room, office, and employee break room, in order to supervise the operation of the VIP gaming operations contemplated by this Agreement.
