Common use of Incorporation into Subcontracts Clause in Contracts

Incorporation into Subcontracts. Design-Builder shall expressly incorporate the provisions in this Agreement in each Subcontract entered on this Project; proof of compliance with this requirement being a condition precedent to UGAA’s obligation to pay. Design-Builder agrees that failure to incorporate the terms of this Agreement into Subcontracts with Subcontractors of any tier is a material breach of this Agreement. UGAA may at any time demand proof of Design-Builder’s compliance with this obligation to incorporate.
