Increases due to Material Change in business terms. In addition to the foregoing, Customer agrees that TRISTAR, in its sole discretion, reserves the right to make adjustments to the Annual Services Fee(s) as it deems necessary in the event any of the following occurs, provided, however, that TRISTAR provides Customer sixty (60) days written notice and justification prior to any adjustment in fees:
