INDEPENDENT CONTRACTOR; NO FIDUCIARY DUTY. Each of the parties hereto acknowledges and agrees that it is a sophisticated business enterprise and that Teraverde has been retained pursuant to this Agreement to act as an advisor solely with respect to the matters set forth in this Agreement. In such capacity, Teraverde shall act as an independent contractor, and any duties of Teraverde arising out of its engagement pursuant to this Agreement shall be contractual in nature and shall be owed solely to the Company. Each party disclaims any intention to impose any fiduciary duty on the other.

In such capacity, Stifel will act as an independent contractor, and any duties of Stifel arising out of this engagement pursuant to this letter shall be contractual in nature and shall be owed solely to the Institution. Each party disclaims any intention to impose any fiduciary duty on the other.

INDEPENDENT CONTRACTOR; NO FIDUCIARY DUTY. Each Party acknowledges and agrees that the arrangements contemplated herein are and will be for the provision of the Services and that nothing contained herein shall create or be construed as creating a contract or other arrangement of employment between the Company and BRRE. BRRE shall provide the Services as an independent contractor and not as an employee, agent, partner or joint venture of the Company. Each Party disclaims any intention to impose any fiduciary duty on the other Party. This Agreement does not constitute either Party as an agent, legal representative, joint venturer, co- employer or partner of the other Party for any purpose whatsoever, and neither BRRE nor the Company shall hold itself out or describe itself as a joint venturer, partner or agent of the other, or shall have the power to bind or obligate the other. Nothing contained in this Agreement shall be construed to give either Party the power to direct and control the day-to-day activities of the other or cause any employees or agents of either Party to be deemed to be employees or agents of the other for any purpose.

INDEPENDENT CONTRACTOR; NO FIDUCIARY DUTY. Client acknowledges and agrees that it is a sophisticated business enterprise and that COPS has been retained pursuant to this agreement to act as adviser to, but not an agent of, Client solely with respect to the matters set forth herein. In such capacity, COPS shall act as an independent contractor, and any duties of COPS arising out of its engagement pursuant to this agreement shall be contractual in nature and shall be owed solely to Client. Each party disclaims any intention to impose any fiduciary duty on the other. Consultant does not have the right or authority to create a contract or obligation either express or implied, on behalf of, in the name of or binding upon the Client or to pledge the Client's credit, or to extend credit in the Client's name unless otherwise agreed in writing.
