Independent Engineer Certificate. The Senior Lenders have received a satisfactory written confirmation, from the Independent Engineer, certifying that: (i) the Wind Turbine Nacelle Factory Acceptance Certificate, in respect of the Wind Turbines scheduled to be delivered by the date of the first Disbursement in accordance with the Offshore TSA, has been issued and is satisfactory to it, (ii) Type Certificate has been issued and is satisfactory to it (iii) the transformer products warranties for the main transformer and medium voltage transformer have been issued and are satisfactory to it and (iv) the Financial Model adequately provides for the National Component committed by the Borrower.
Independent Engineer Certificate. A certificate of the Independent Engineer, dated no earlier than ten Business Days or such other period as agreed by DOE prior to the requested withdrawal or transfer date, substantially in the form of Exhibit F-2 (Form of Independent Engineer Certificate (Advance Approval)) of the Loan Agreement and addressing such other matters as DOE may reasonably request.
Independent Engineer Certificate. Delivery to Administrative Agent of the Independent Engineer’s certificate, in substantially the form of Exhibit G-3, with the Independent Engineer’s report attached thereto.
Independent Engineer Certificate. Not less than three Banking Days prior to the proposed initial date of Borrowing for the Tranche B Construction Loan, delivery to Administrative Agent of a certificate, substantially in the form of Exhibit G-11, from the Independent Engineer as to the status of construction of each Project. Such certificate shall describe the characteristics of each Project that make such Project a “qualified facility” for purposes of the Cash Grant, including that (A) such Project is a facility using wind to produce electricity, (B) the nameplate capacity of each wind turbine associated with such Project is greater than 100kW and (C) such Project commenced construction prior to December 31, 2010.
Independent Engineer Certificate. A certificate from the Independent Engineer, (i) confirming that its certificate and Independent Engineer Report delivered pursuant to Section 4.1.14(d) are true and correct in all material respects as of the date of the Master Advance Notice delivered with respect to the first Advance and, if any matter covered by such certificate or report has been updated since the Guarantee Agreement Date, confirming the reasonableness and appropriateness of any such update and (ii) providing an updated report addressing such matters as DOE reasonably requests.
Independent Engineer Certificate. A certificate of the Independent Engineer and otherwise regarding the matters required to be certified by it as set forth in this Section 4.3 in substantially the form attached as Exhibit M.
Independent Engineer Certificate. To the Agent, for each Capital Expenditure Reserve Calculation Period, the Independent Engineer shall deliver either a Capital Expenditure Sufficiency Certificate or a Capital Expenditure Deficiency Certificate with respect to each such Capital Expenditure Reserve Calculation Period.
Independent Engineer Certificate. The Administrative Agent and the Technical Agent shall have received from the Independent Engineer a certificate in the form of Exhibit M‑2 dated no more than five (5) Business Days prior to proposed date of Borrowing in the relevant Loan Notice, pursuant to which the Independent Engineer shall certify, among other things, to the best of its knowledge that:
(i) construction, including the percentage of works completed, of the Mine is progressing substantially in accordance with the Development Plan and the costs associated therewith are in accordance in all material respects with the Development Plan;
(ii) Economic Completion can reasonably be expected to occur by the Anticipated Economic Completion Date;
(iii) the Cost to Complete Test and the Time to Complete Test have been satisfied as of the date of the certificate; and
(iv) the Borrowing requested in the Loan Notice is necessary to pay invoices then due and payable with respect to Project Costs contemplated by the Development Plan and incurred on or prior to the date of the Borrowing or to pay Project Costs contemplated by the Development Plan as such Project Costs become due and payable within thirty (30) days of the date of the Borrowing.
Independent Engineer Certificate. The Term Loan A Administrative Agent shall have received a certificate of the Independent Engineer confirming (i) that Ready for Start Up and Substantial Completion with respect to both trains of the Project have occurred and the Lenders’ Reliability Test has been passed in accordance with the Lenders’ Reliability Test Criteria set forth in Schedule 6.05(c) and (ii) the Borrower’s calculation of the Permitted Completion Amount.
Independent Engineer Certificate. Lender shall have received a certificate, duly executed and delivered by the Independent Engineer, in the form of Exhibit F.
