Independent Obligation to Pay. The obligation of the Contractor to pay its subcontractors (and their obligation to pay sub-subcontractors) is an independent obligation from the obligation of the Owner to make payment to the Contractor. The Owner shall have no obligation to pay or to see to the payment of any monies to any subcontractor or sub-subcontractor. The provisions of this Contract are solely intended for the benefit of the Owner and Contractor and not for any other person. Nothing in this Contract is intended to create any third-party rights against the Owner.

Independent Obligation to Pay. Except as otherwise set forth herein, the obligation of Licensee to pay the Annual License Fee or other sums due to WFI under this Agreement is independent of the liabilities or limitations of WFI 's concessionaires, vendors, or any Event Sponsor. Licensee shall promptly make all such payments due to WFI without any deductions, setoffs or counterclaims against such payments on account of any breach or default by or claims against any concessionaire, catering service provider or any Event Sponsor. WFI shall not be liable for and Licensee shall not assert any deduction, setoff or claim of any nature against WFI for any act or omission of or any breach or default by any concessionaire, vendor, or Event Sponsor.
Independent Obligation to Pay. Contractor's obligation to pay its Subcontractors is an independent obligation from FedEx's obligation to pay Contractor, and FedEx has no obligation to pay or to see to the payment of any monies to any Subcontractor. Consequently, XxxXx's withholding of payments in accordance with the terms of this Agreement will not be grounds for Contractor to withhold payments properly due its Subcontractors. FedEx reserves the right, however, to make payment jointly to Contractor and any Subcontractor if FedEx becomes aware that Contractor fails to pay, or unreasonably withholds payment from, that Subcontractor. FedEx’s use of that joint check procedure will create no rights in favor of any person or entity beyond the right of the check payees to payment of the check and will not commit FedEx to repeat the procedure in the future.

  • STUDENT OBLIGATIONS The student agrees to use the property as his or her personal residence. The student shall maintain the interior of the property in a reasonably clean and safe condition, use reasonable care in consumption of utilities and services furnished by the landlord, and avoid unreasonable noise or other disruption of the privacy and peaceful enjoyment of the premises by the landlord and other students.
