SCOPE OF THE WORK AND TERM OF AGREEMENT. Section 1.01. Scope of the Work. The general scope of the work is more particularly described in Exhibit A, which is attached hereto and incorporated herein by reference. Contractor agrees that the Project shall be constructed in accordance with the terms of this Contract and the “Contract Documents” as defined in Article 2 of this Contract. The term “Work” includes, but is not limited to, all labor, materials, supplies, tools, equipment and services necessary to construct the Project as described in the Contract Documents, whether or not all materials and equipment are incorporated or will be incorporated in the Project; and all Work deemed necessary to fully close the Project including demobilization.

SCOPE OF THE WORK AND TERM OF AGREEMENT. Section 1.1. Scope of the Work The XXXX shall provide for no more than the Guaranteed Maximum Price “GMP”, all of the labor, materials, supplies, tools, equipment, appliances, and facilities necessary to construct the Project upon the real property of the owner in Memphis, Tennessee. The general scope of the work is more particularly described in Exhibit A, which is attached hereto and incorporated herein by reference. XXXX agrees that the Project shall be constructed in accordance with the terms of this Contract and the “Contract Documents” as defined in Article 2 of this Contract.   • Effective Date and Term of Agreement This Agreement is effective and binding on the Company and Employee as of the date hereof; provided, however, that, subject to Section 2(d), the provisions of Sections 3 and 4 shall become operative only upon the Change in Control Date.

  • Term of Agreement and Termination 2.1. This Agreement enters into effect at the time of acceptance of this Agreement.

  • Term of Agreement This Agreement shall continue in full force and effect until the tenth (10th) anniversary of Bank Closing; provided, that the provisions of Section 6.3 and 6.4 shall survive the expiration of the term of this Agreement; and provided further, that the receivership of the Failed Bank may be terminated prior to the expiration of the term of this Agreement, and in such event, the guaranty of the Corporation, as provided in and in accordance with the provisions of Section 12.7 shall be in effect for the remainder of the term of this Agreement. Expiration of the term of this Agreement shall not affect any claim or liability of any party with respect to any (i) amount which is owing at the time of such expiration, regardless of when such amount becomes payable, and (ii) breach of this Agreement occurring prior to such expiration, regardless of when such breach is discovered.

  • Contract Term and Termination 4.1. This Contract is concluded for 1 (one) year with the possibility of being automatically extended for new 1- year successive periods, under the same contractual conditions, unless any of the parties express their intention not to extend the Contract at least 30 days prior to its expiry.

  • Agreement Term and Termination This agreement will remain in effect until the expiration or termination of Customer’s Subscription, whichever is earliest. Customer may terminate this agreement at any time by contacting its Reseller. The expiration or termination of this agreement will only terminate Customer’s right to place new orders for additional Products under this agreement.
