Injunction; Litigation. (i) No statute, rule, regulation or order of any court or Authority shall be in effect which restrains or prohibits the transactions contemplated by this Agreement or which would limit or materially adversely affect Seller's ownership of all or any material portion of its properties, nor (ii) shall there be pending or threatened any litigation, suit, action or proceeding by any party which could reasonably be expected to materially limit or materially adversely affect Seller's ownership of any of its properties.
Injunction; Litigation. No order of any court or Governmental Authority shall be in effect which restrains or prohibits the consummation of the transactions contemplated by this Agreement and the Related Agreements and there shall not have been threatened, nor shall there be pending, any action or proceeding by or before any such court or Governmental Authority seeking to prohibit or delay or challenging the validity of the transactions contemplated by this Agreement or the Related Agreements.

No party hereto shall be subject to any order or injunction (whether preliminary or permanent) restraining or prohibiting the consummation of the transactions contemplated hereby, and no action shall have been taken, or no statute, rule, regulation or order shall have been promulgated or enacted by any Governmental Body, which would prevent or make illegal the consummation of the transactions contemplated hereby.

No preliminary or permanent ---------------------- injunction or other order by any federal or state court of competent jurisdiction that makes illegal or otherwise prevents the consummation of the transactions contemplated hereby shall have been issued and remains in effect. There shall not be pending or overtly threatened any litigation, suit, action or proceeding by any person which could reasonably be expected to materially adversely affect the Corporation and the Subsidiaries, taken as a whole, or their respective assets or business.

No statute, rule, regulation or order of any court or Authority shall be in effect which restrains or prohibits the transactions contemplated by this Agreement or which would limit or materially adversely affect IAWC's and Parent's respective ownership of all or any material portion of the Acquired Assets, nor (ii) shall there be pending or threatened any litigation, suit, action or proceeding by any party which would reasonably be expected to materially limit or materially adversely affect IAWC's and Parent's respective ownership of the Acquired Assets.
Injunction; Litigation. No order, injunction, decree or judgment of any court or Governmental Authority having jurisdiction shall be in effect which restrains or prohibits the consummation of the transactions contemplated by this Agreement or the Related Agreements, or which would limit or affect the ability of Buyer to own or control the Purchased Assets or to operate the business of the Facility, and there shall not have been threatened, nor shall there be pending, any action or proceeding by or before any such court or Governmental Authority seeking to prohibit, delay or otherwise prevent or challenging the validity of the transactions contemplated by this Agreement or the Related Agreements, or which could in Buyer's judgment have an adverse effect on the Purchased Assets or the business of the Facility.
Injunction; Litigation. No judgment is outstanding against Seller or the LLC and no litigation, action, suit, judgment, proceeding, or investigation is pending or outstanding before any forum, court, or governmental body, department or agency, or, to the knowledge of Seller, threatened, that has the stated purpose or the probable effect of enjoining or preventing the Closing.
Injunction; Litigation. No statute, rule or regulation or order of any Authority shall be in effect which restrains or prohibits the transactions contemplated by this Agreement or which would materially limit or materially adversely affect Buyer's ownership of the Purchased Assets or operation of the Quarry; nor shall there be pending or threatened any litigation, suit, action or proceeding by any Person which (i) could be reasonably expected to materially limit or materially adversely affect Buyer's ownership of the Purchased Assets or operation of the Quarry; (ii) seeks to restrain or prohibit the transactions contemplated by this Agreement; (iii) challenges the legality or validity of the transactions contemplated by this Agreement; or (iv) seeks damages from Seller, Parent or Buyer as a result of the transactions contemplated by this Agreement.
Injunction; Litigation. (i) No statute, rule, regulation, executive order, decree, decision, ruling, order of any Authority or preliminary or permanent injunction shall have been enacted, entered, promulgated or enforced by any U.S. federal or state court or Korean or other governmental Authority with jurisdiction over the Transaction that prohibits, restrains, enjoins or restricts the consummation of the Transaction, which has not been withdrawn or terminated, (ii) nor shall there be pending or, to the Knowledge of Seller, threatened any litigation, suit, action or proceeding by any Authority to restrain or prohibit the Transaction.

No Law or Order of any Authority shall be in effect which restrains or prohibits the transactions contemplated by this Agreement or which would limit or adversely affect Buyers' ownership of all or any portion of the Acquired Assets, nor shall there be pending or, to the Knowledge of Buyers, threatened any litigation, suit, action or proceeding by any Person (other than the Parties) to restrain or prohibit any of the transactions contemplated hereby or which could reasonably be expected to limit or adversely affect Buyers' ownership of the Acquired Assets.
