Injunction; Litigation. (i) No statute, rule, regulation or order of any court or Authority shall be in effect which restrains or prohibits the transactions contemplated by this Agreement or which would limit or materially adversely affect Seller's ownership of all or any material portion of its properties, nor (ii) shall there be pending or threatened any litigation, suit, action or proceeding by any party which could reasonably be expected to materially limit or materially adversely affect Seller's ownership of any of its properties.

No order of any court or Governmental Authority shall be in effect which restrains or prohibits the consummation of the transactions contemplated by this Agreement and the Related Agreements and there shall not have been threatened, nor shall there be pending, any action or proceeding by or before any such court or Governmental Authority seeking to prohibit or delay or challenging the validity of the transactions contemplated by this Agreement or the Related Agreements.

There shall not be pending or overtly threatened any litigation, suit, action or proceeding by any person which could reasonably be expected to materially adversely affect the Corporation and the Subsidiaries, taken as a whole, or their respective assets or business.

No action or proceeding by any third party shall be pending by or before any Governmental Agency challenging any of the transactions contemplated by this Agreement or seeking monetary relief by reason of the consummation of such transactions.
(d) Consents and Pre-Closing Regulatory Approvals. Each of the Consents, if any, listed on Schedule 5.1(d) and Schedule 5.2(d), and the Pre-Closing Regulatory Approvals set EXECUTION VERSION 8 forth on Schedule 5.2(e), shall have been obtained on terms and conditions reasonably acceptable to Seller and shall be in full force and effect.

No statute, rule or regulation or order of any Authority shall be in effect which restrains or prohibits the transactions contemplated by this Agreement or which would materially limit or materially adversely affect Buyer's ownership of the Purchased Assets or operation of the Quarry; nor shall there be pending or threatened any litigation, suit, action or proceeding by any Person which (i) could be reasonably expected to materially limit or materially adversely affect Buyer's ownership of the Purchased Assets or operation of the Quarry; (ii) seeks to restrain or prohibit the transactions contemplated by this Agreement; (iii) challenges the legality or validity of the transactions contemplated by this Agreement; or (iv) seeks damages from Seller, Parent or Buyer as a result of the transactions contemplated by this Agreement.

No statute, rule or regulation or order of any Authority shall be in effect which restrains or prohibits the transactions contemplated by this Agreement or which would materially limit or materially adversely affect Seller's or Parent's ability to complete their respective obligations hereunder; nor shall there be pending or threatened any litigation, suit, action or proceeding by any Person which (i) seeks to restrain or prohibit the transactions contemplated by this Agreement; (ii) challenges the legality or validity of the transactions contemplated by this Agreement; or (iii) seeks damages from Seller, Parent or Buyer as a result of the transactions contemplated by this Agreement.

No judgment is outstanding against Seller or the LLC and no litigation, action, suit, judgment, proceeding, or investigation is pending or outstanding before any forum, court, or governmental body, department or agency, or, to the knowledge of Seller, threatened, that has the stated purpose or the probable effect of enjoining or preventing the Closing.
