Institutional Employees. The Seller Parties shall use commercially reasonable efforts to assist Xxxxx in hiring all persons who are (a) employed by Seller at the time of the Closing, or (b) employed by Seller Parent at the time of the Closing but whose job function relates to operations of the University that will be acquired by Buyer hereunder (the “Institutional Employees”), in each case as contemplated by Section 6.

Institutional Employees. Contributor will use commercially reasonable efforts to assist NewU in hiring all of those employees listed on Schedule 2.2 (and any individuals who have replaced such employees) who are employed by Contributor at the time of the Closing (the “Institutional Employees”) as contemplated by Section 7.1 (Transferred Employees).

  • Casual Employees A casual employee is one who is not regularly scheduled to work other than during periods that such employee shall relieve a regular full-time or regular part-time employee. Casual employees accumulate seniority on an hourly basis and are entitled to such benefits as are contained in the “Addendum - Casual Employees”.

Nothing in this Section shall limit the Employer’s right to change or modify or terminate any benefit plan or program as it sees fit from time to time in the normal course of business so long as it does so for all senior executives of the Employer.
