Intercompany Transfer of Funds. (a) The Company shall keep records of all movement of funds between the Company and its Subsidiaries, on the one hand, and HSNi and its Subsidiaries which are not also Subsidiaries of the Company ("Non-LLC Subs"), on the other hand. HSNi shall cause all Excess Cash held by HSNi and its Subsidiaries from time to time to be transferred to the Company in accordance with the terms of this Section 8.5 and Article 5 of the Investment Agreement. (b) Except as otherwise provided in Section 5.4 of the Investment Agreement and Section 8.5(d) of this Agreement, all transfers of funds from the Company to HSNi and Non-LLC Subs (other than distributions on, or redemptions of, the Class A Shares or payment of interest on indebtedness owed or assumed by the Company) shall either be (i) evidenced by a demand note from the recipient of such funds payable to the Company or (ii) applied to repay indebtedness owed by the Company to such recipient. (c) Except as otherwise provided in Section 5.4 of the Investment Agreement and Section 8.5(d) of this Agreement, all transfers of funds from HSNi and Non-LLC Subs (other than contributions of capital in connection with the acquisition of the Class A Shares or payment of interest on indebtedness owed to the Company) shall either be (i) evidenced by a demand note from the Company payable to the transferor of such funds or (ii) applied to repay indebtedness owed by such transferor to the Company.

Intercompany Transfer of Funds. The Borrower will take such actions as may be necessary in order to cause (1) each Guarantor to pay dividends on its capital stock, from funds legally available therefor, or to purchase shares of capital stock of any Guarantor, or for any Subsidiary of a Guarantor to loan or advance funds to the Guarantor, in each case to the extent necessary to enable the Guarantor to pay its Guaranty Obligations hereunder, and (2) the Borrower to contribute to the capital of any Guarantor, or to purchase additional shares of capital stock of any Guarantor, or for any Subsidiary of a Borrower to loan or advance funds to the Borrower, in each case to the extent necessary to enable the Borrower to pay its Obligations hereunder.

  • Restrictions on Intercompany Transfers The Borrower shall not, and shall not permit any other Loan Party or any other Subsidiary (other than (i) a Warehouse Entity following securitization pursuant to the terms of the securitization documents or (ii) an Excluded Subsidiary holding title assets subject to Secured Indebtedness pursuant to the terms of the Secured Indebtedness documents), to create or otherwise cause or suffer to exist or become effective any consensual encumbrance or restriction of any kind on the ability of any Subsidiary to: (a) pay dividends or make any other distribution on any of such Subsidiary’s capital stock or other equity interests owned by the Borrower or any Subsidiary; (b) pay any Indebtedness owed to the Borrower or any Subsidiary; (c) make loans or advances to the Borrower or any Subsidiary; or (d) transfer any of its property or assets to the Borrower or any Subsidiary; other than (i) with respect to clauses (a) through (d) those encumbrances or restrictions (x) contained in any Loan Document or (y) contained in any other agreement that evidences Unsecured Indebtedness containing encumbrances or restrictions on the actions described above that are substantially similar to or less restrictive than those contained in the Loan Documents or, (ii) with respect to clause (d), (x) restrictions contained in any agreement relating to the sale of a Subsidiary (other than the Borrower) or the assets of a Subsidiary pending sale, or relating to Secured Indebtedness secured by a Lien on assets that Spirit REIT, the Borrower, any other Loan Party or any other Subsidiary may create, incur, assume, or permit or suffer to exist and as permitted by the Loan Documents; provided that in any such case, the restrictions apply only to the Subsidiary or the assets that are the subject of such sale or Lien, as the case may be or (y) customary provisions restricting assignment of any agreement entered into by Spirit REIT, the Borrower, any other Loan Party or any other Subsidiary in the ordinary course of business.

  • Continuing Security Interest; Transfer of Notes This Security Agreement shall create a continuing security interest in the Collateral and shall (a) remain in full force and effect until payment in full in cash of all Secured Obligations, the termination or expiration of all Letters of Credit and the termination of all Commitments, (b) be binding upon the Grantor, its successors, transferees and assigns, and (c) inure, together with the rights and remedies of the Collateral Agent hereunder, to the benefit of the Collateral Agent and each other Secured Party. Without limiting the generality of the foregoing clause (c), any Lender may assign or otherwise transfer (in whole or in part) any Note or Credit Extension held by it to any other Person or entity, and such other Person or entity shall thereupon become vested with all the rights and benefits in respect thereof granted to such Lender under any Loan Document (including this Security Agreement) or otherwise, subject, however, to any contrary provisions in such assignment or transfer, and to the provisions of Article XIII of the Credit Agreement. Upon the payment in full in cash of all Secured Obligations, the termination or expiration of all Letters of Credit and the termination of all Commitments, the security interest granted herein shall terminate and all rights to the Collateral shall revert to the Grantor. Upon any such termination, the Collateral Agent will, at the Grantor's sole expense, execute and deliver to the Grantor such documents as the Grantor shall reasonably request to evidence such termination. Upon any sale or other transfer of Collateral permitted by the terms of the Credit Agreement, the security interest created hereunder in such Collateral (but not in the proceeds thereof) shall be deemed to be automatically released and the Collateral Agent will, at the Grantor's sole expense, execute and deliver to the Grantor such documents as the Grantor shall reasonably request to evidence such release.

  • Transfer of Membership Interests (a) The Member may transfer its Membership Interest, in whole but not in part, but the transferee shall not be admitted as a Member except in accordance with Section 6.07. Until the transferee is admitted as a Member, the Member shall continue to be the sole member of the Company (subject to Section 1.02) and to be entitled to exercise any rights or powers of a Member of the Company with respect to the Membership Interest transferred.   • Sale or Transfer of Assets; Suspension of Business Operations The Borrower will not sell, lease, assign, transfer or otherwise dispose of (i) the stock of any Subsidiary, (ii) all or a substantial part of its assets, or (iii) any Collateral or any interest therein (whether in one transaction or in a series of transactions) to any other Person other than the sale of Inventory in the ordinary course of business and will not liquidate, dissolve or suspend business operations. The Borrower will not license any other Person to use any of the Borrower’s Intellectual Property Rights, except that the Borrower may grant licenses in the ordinary course of its business in connection with sales of Inventory or provision of services to its customers.

  • Transfer of Membership Interest The Sole Member may Transfer any part or all of its rights and interest (including, but not limited to, its Capital Account) in the Company (each a “Membership Interest”) now owned or hereafter acquired to any Person, and the transferee of such Membership Interest shall become a Member of the Company.
