Interim Board of Directors. Beginning with the creation of the Corporation, the affairs of the Corporation shall be managed by an interim Board of Directors until Directors are elected pursuant to Section 6 below, which must occur prior to the end of the third full academic year of operation as a charter school. The interim Board of Directors shall be comprised of the founders and other individuals nominated by and approved by the founders to serve on the Board of Directors. Interim Directors, including founders, shall hold office until their successors are duly elected pursuant to Sections 2 and 6 below, or until their earlier death, resignation or removal from office. Founders shall either be elected as voting Directors or switch to non-voting ex officio status no later than the date upon which the last class of Interim Directors is replaced by election pursuant to Section 6, or such earlier time as determined by the Board.

Interim Board of Directors. Until the Closing, the Board of Directors of GSRW shall consist of PR, DP and Messrs. Mark Andrews, T. Kelley Spillane and John E. Schmeltzer, III. The Board of Directors of GSRW shall have the authority to approve the terms and conditions of the Financing. Mr. Colm Leen shall receive all information provided to the Board of Dxxxxxxxx xx GSRW and shall be entitled to notice of, and to attend, all of the meetings thereof as an observer.
Interim Board of Directors. Upon implementation of this Agreement, the Parties shall appoint a twelve (12) member interim board of directors of the Association (the “Interim Board”), comprised of six (6) Directors nominated by each of the Parties, for an initial one (1) year period, to oversee and coordinate an effective transition of this Agreement and the successful launch of a coordinated Representative Team hockey program. Following the conclusion of this one year transition period, the Parties will appoint Directors to the Association’s Board in accordance with the terms of this Agreement and the Association’s By-Laws. To the extent possible, the members of the Interim Board shall have served on the boards of directors of either Schomberg Minor Hockey and NobleKing Minor Hockey during the negotiation of this Agreement, in order to ensure adequate knowledge and familiarity with this Agreement and the negotiated intent of the Parties. The Interim Board of Directors may also, at its discretion, appoint additional non-voting Directors, Officers and/or Convenors as necessary during the initial one (1) year transition period, to assist in the implementation of this Agreement.

Any such committee, to the extent permitted by applicable law, shall have and may exercise all the powers and authority of the Board of Directors in the management of the business and affairs of the Corporation and may authorize the seal of the Corporation to be affixed to all papers that may require it to the extent so authorized by the Board of Directors. Unless the Board of Directors provides otherwise, at all meetings of such committee, a majority of the then authorized members of the committee shall constitute a quorum for the transaction of business, and the vote of a majority of the members of the committee present at any meeting at which there is a quorum shall be the act of the committee. Each committee shall keep regular minutes of its meetings. Unless the Board of Directors provides otherwise, each committee designated by the Board of Directors may make, alter and repeal rules and procedures for the conduct of its business. In the absence of such rules and procedures each committee shall conduct its business in the same manner as the Board of Directors conducts its business pursuant to this Article III.
