International Business Matters. 3.28.1 Each of SSC, IFD and their respective subsidiaries or other owned business entities has complied in all respects with all laws, regulations and ordinances of the foreign jurisdictions in which they do business or propose to do business. 3.28.2 All contracts and agreements between each of SSC, IFD and their respective subsidiaries or other owned business entities and any foreign parties are, to the extent required, duly registered with or approved by the appropriate regulatory authority in each foreign jurisdiction in which they do business or propose to do business. 3.28.3 None of SSC, IFD or any of their respective subsidiaries or other owned business entities has violated any foreign law, regulation or ordinance or any U.S. laws pertaining to business with foreign jurisdiction, including without limitation the United States Foreign Corrupt Practices Act, and there are no claims or litigation in any foreign jurisdictions pending or threatened against any of them. 3.28.4 The international sales of Seller's PDM Business are conducted in full compliance with all applicable export laws and regulations, and Seller has provided SDRC with all documents, records or other evidence related to the classification of the software sold by Seller's PDM Business under applicable United States export laws and regulations. 3.28.5 Each of SSC, IFD and their respective subsidiaries or other owned business entities is current on all material payments due to foreign distributors. 3.28.6 All revenues resulting from sales made in foreign jurisdictions by SSC, IFD and their respective subsidiaries or other owned business entities are reported on the Financial Statements in accordance with United States generally accepted accounting principles, consistently applied. 3.28.7 Seller does not know of any restrictions imposed by foreign governments or governmental agencies on the ability to terminate any distribution agreements or other agreements with foreign entities selling products of Seller's PDM Business.

International Business Matters. All material contracts and agreements between Imageware and any foreign parties required to be registered with or approved by a regulatory authority in any foreign jurisdiction in which Imageware does business is duly registered and/or approved;
International Business Matters. Except as set forth in Section3.26 of the Company Disclosure Schedule: (a) the Company is currently in compliance in all material respects with, and since January 1, 2007, the Company and its Subsidiaries have been in compliance in all material respects with, all applicable International Trade Laws and Regulations; (b) the Company possesses, and since January 1, 2007, the Company and its Subsidiaries possessed and have prepared and timely applied for, all import and export licenses required in accordance with all International Trade Laws and Regulations applicable to the conduct of its business; (c) the Company and each of its Subsidiaries have made available to Parent true and complete copies of all issued and pending import and export licenses obtained under the International Trade Laws and Regulations, if any; and (d) the Company does not currently maintain, and since January 1, 2007, neither the Company nor any of its Subsidiaries has maintained, employees, sales or marketing representatives or assets of any kind in any jurisdiction outside of the United States, except for Wavestream Asia as to which the international sales and marketing operation has been described on Schedule 3.26.
International Business Matters. MTI has complied in all material respects with all laws, regulations and ordinances, both of foreign jurisdictions and of the United States or any jurisdiction therein, in connection with its business in any foreign jurisdiction. MTI is authorized to do business in all foreign jurisdictions where MTI currently does or proposes to do business and has all material foreign governmental licenses and permits necessary for conducting the business it conducts and such licenses and permits are in full force and effect. All revenues resulting from sales made in foreign jurisdictions by MTI are reported on MTI's Financial Statements in accordance with United States generally accepted accounting principles.

  • INTERNATIONAL BOYCOTT PROHIBITION In accordance with Section 220-f of the Labor Law and Section 139-h of the State Finance Law, if this contract exceeds $5,000, the Contractor agrees, as a material condition of the contract, that neither the Contractor nor any substantially owned or affiliated person, firm, partnership or corporation has participated, is participating, or shall participate in an international boycott in violation of the federal Export Administration Act of 1979 (50 USC App. Sections 2401 et seq.) or regulations thereunder. If such Contractor, or any of the aforesaid affiliates of Contractor, is convicted or is otherwise found to have violated said laws or regulations upon the final determination of the United States Commerce Department or any other appropriate agency of the United States subsequent to the contract's execution, such contract, amendment or modification thereto shall be rendered forfeit and void. The Contractor shall so notify the State Comptroller within five (5) business days of such conviction, determination or disposition of appeal (2NYCRR 105.4).

  • International Agreements The Parties shall make all reasonable efforts to accede to the Geneva Act to the Hague Agreement Concerning the International Registration of Industrial Designs adopted in Geneva on 2 July 1999.

  • Personal Business Leave Unit members shall receive a total of three (3) work days per year with no loss in salary that may be used for personal business. Unit members employed on or after February 1 shall receive one (1) work day of personal business leave. Effective July 1, 2006, unused personal business leave days may be accumulated up to no greater than five (5) days. On July 1 of each year any personal business days in excess of five (5) will be converted to sick leave days. Personal business leave may be requested, with at least three (3) work days advance notice, through the appropriate principal or department head who shall not require a reason for the leave. If, however, an unforeseen circumstance requires the member’s absence which could not be approved three days in advance, the reason for the absence shall be stated and the principal or department head may, at his/her discretion, approve the absence as a day of personal business leave. Personal business leave may be denied when, in the judgment of the principal or supervisor, the member’s absence would impair the educational process. Personal business leave shall not be taken immediately before or immediately after a holiday or weekday when school is closed on the master calendar, or on an in-service day for teachers, or at the beginning (first five scheduled work days) or the end of the school year (last five scheduled work days). If, however, a circumstance requires the member’s absence on one or more of the foregoing days, the member may request use of personal business leave through the principal. The principal or supervisor may, at his/her discretion, approve the absence as a day of personal business leave. In normal circumstances a member shall not use more than three (3) consecutive personal business days at one time. Exceptions to the foregoing restrictions on days to be used for personal business leave may be made by the Assistant Superintendent of Human Resources for circumstances which require the member’s absence on these days.

  • Ethical Business Practices The Contractor shall work in partnership with the State to ensure a successful and valuable contract, and ethical practices are required of State employees, Contractors, and all parties representing the Contractor. All work performed under this Contract will be subject to review by the Inspector General of the State of Florida, and any findings suggesting unethical business practices may be cause for termination or cancellation.

  • Business Auto Liability The following Automobile Liability will be required and coverage shall apply to all owned, hired, and non-owned vehicles used with minimum limits of: $100,000 bodily injury per person (B.I.) $300,000 bodily injury per occurrence (B.I.) $100,000 property damage (PD) or $300,000 combined single limit (C.S.L.) of B.I. and P.D.

  • General Business Insurance To maintain insurance as is usual for the business it is in.

  • Nature of Business; International Operations Neither the Borrower nor any Restricted Subsidiary will allow any material change to be made in the character of its business as an independent oil and gas exploration and production company. From and after the date hereof, the Borrower and its Domestic Subsidiaries will not acquire or make any other expenditure (whether such expenditure is capital, operating or otherwise) in or related to, any Oil and Gas Properties not located within the geographical boundaries of the United States.
